Change Fees definition

Change Fees means the fees payable to C-ME by any Network Vendor for changes including, but not limited to, additions, deletions, or modifications made by C-ME to such Network Vendor's product information and/or product images.
Change Fees means the agreed fees payable by GGO to AIL for any agreed Change to be made pursuant to clauses 6.7 below and as set out in Schedule 1, which fees are exclusive of VAT, if applicable.
Change Fees means the fees charged by Xiamen Airlines for passengers' voluntary request to change the original flight plan according to ticket conditions, including the change fees for flight, schedule, date, class of service, validity period, etc.

Examples of Change Fees in a sentence

  • The Key Personnel Change Fees shall be assessed in the amounts set forth below for changes to Key Personnel during the periods described below.

  • As deemed compensation to TxDOT for Losses described in Section 8.3.1.4 of the General Conditions, DB Contractor agrees to pay to TxDOT the following Key Personnel Change Fees amounts in accordance with such section.

  • THISCO may increase the Reservation and Status Change Fees by an amount equal to the annual increase in the U.S. Consumer Price Index to offset cost increases of THISCO's operations provided that such increase shall not take effect until the expiration of 60 days after notice of the increase.

  • For purposed of calculating the Key Personnel Change Fees, the “Progress Percentages” will be determined by dividing DB Contractor’s earned-to-date amount, set forth in DB Contractor’s most recently approved Draw Request, by the Price.

  • TxDOT shall have the right to deduct any amount owed by DB Contractor to TxDOT hereunder from any amounts owed by TxDOT to DB Contractor, or to collect from any bond or Guaranty furnished under this Agreement for such Key Personnel Change Fees.

  • In addition, the Draw Request for a monthly payment must be accompanied by an attached report containing information that TxDOT can use to verify the Draw Request and monthly payment and all components of the liquidated damages, Key Personnel Change Fees, and Noncompliance Charges for the prior month.

  • Right to Change Fees and Commissions We reserve the right to change the circumstances in which any of the fees or the currency conversion commission on your account are charged and the amount of those fees or commission.

  • Following any TxDOT-approved substitution or replacement of a Key Personnel pursuant to the terms hereof, the new individual shall be considered a Key Personnel for all purposes under this Agreement, including the provisions of this Section 7.4 relative to Key Personnel Change Fees.

More Definitions of Change Fees

Change Fees means fees charged to a passenger who voluntarily changes his/her flight or boarding date based on the applicable conditions of the original ticket and these Conditions.

All cancellations, rescheduling of date and/or times, changing group size or boat class, are considered changes and will incur change fees which cannot be waived. All change fees are the greater of the below listed percentage of the full charter cost, or their listed minimum. Change fees cannot be waived regardless of circumstance. Special events (*see dates below) have double the change/cancel fee and double the minimums. $100 – for cancellations at least 14 full days in advance of scheduled charter ($200 for special events) 15% ($100 minimum) – for cancels/changes at least 10 full days in advance of scheduled charter (30% for special events) 30% ($250 minimum) – for cancels/changes at least 7 full days in advance of scheduled charter (60% for special events) 50% ($250 minimum) – for cancels/changes at least 72 hours in advance of scheduled charter (100% for special events) 75% ($400 minimum) – for cancels/changes at least 4 hours in advance of scheduled charter (100% for special events) 100% – for cancels/changes less than 4 hours in advance of scheduled charter, or no shows *Special events (2024: July 3-6 any time, July 27 daytime, and Aug 16-18 daytime), have double the cancellation/change fees listed above (but shall not exceed the full cost of the scheduled charter), and are subject to a minimum cancellation fee of $200 even if more than 14 days in advance.

Show Fri-Sun between 9am and 5pm will not be cancelled for showers if planes are still flying (but will be delayed for electrical storms). For all charters, CSC reserves the right to cancel charters if CSC believes that the conditions are not suitable, even if Charterer and the captain believe they are. If Chicago Sailboat Charters cancels the charter (not if Charterer cancels or no show), payments will be refunded and there is no future obligation.

Related to Change Fees

  • Expense Fees As to each Mortgage Loan, the sum of the Servicing Fee and the Trustee Fee.

  • Tax Fees means the aggregate fees billed in each of the last two fiscal years for professional services rendered by the Company’s external auditor for tax compliance, tax advice and tax planning.

  • interchange fee means a fee paid between the payment service providers of the payer and of the payee for each direct debit transaction;

  • Monthly Fees means, collectively, [INSERT FOR HFS: the Monthly Food and Beverage Fee,] the Monthly Program Fee and the Monthly Royalty Fee, each of which is set forth in the Addendum.   • Transaction Fees means fees paid or payable by the Service Recipients, which are on market terms, with respect to financial advisory services ordinarily carried out by investment banks in the context of mergers and acquisitions transactions.

  • Service Fees means all fees payable by Party B to Party A pursuant to Article 3 of this Agreement in respect of the Services provided by Party A.

  • License Fees means all non-refundable fees payable by Licensee to OT with respect to the granting of Software Licenses; “License Model” means the description of the conditions, limitations and restrictions associated with the Software License which govern the use of the Software, as set out in the applicable License Model Schedule;

  • L/C Fees has the meaning set forth in Section 3.4(c).

  • Estimated Transaction Expenses has the meaning set forth in Section 2.3(a).

  • Acquisition Fees means the fee payable to the Advisor pursuant to Section 8.01 plus all other fees and commissions, excluding Acquisition Expenses, paid by any Person to any Person in connection with making or investing in any Property or other Permitted Investment or the purchase, development or construction of any Property by the Company. Included in the computation of such fees or commissions shall be any real estate commission, selection fee, Development Fee, Construction Fee, nonrecurring management fee, loan fees or points or any fee of a similar nature, however designated. Excluded shall be Development Fees and Construction Fees paid to Persons not Affiliated with the Advisor in connection with the actual development and construction of a Property.

  • Start-Up Costs means all fees, costs, and expenses incurred in connection with establishing the State Mitigation Trust and the Indian Tribe Mitigation Trust and setting them up for operation. Start-up costs shall not include the cost of premiums for insurance policies.

  • Unpaid Transaction Expenses has the meaning specified in Section 2.4(c).

  • Class Counsel Fees Payment and “Class Counsel Litigation Expenses Payment” mean the amounts allocated to Class Counsel for reimbursement of reasonable attorneys’ fees and expenses, respectively, incurred to prosecute the Action.

  • Transition Expenses The reasonable costs (including reasonable attorneys’ fees) of the Backup Servicer incurred in connection with the transferring the servicing obligations under this Agreement and amending this Agreement to reflect such transfer in an amount not to exceed $100,000.

  • Reimbursement Amount As defined in Section 2.04.

  • Transaction Expenses means any fees or expenses incurred or paid by Holdings or any of its Subsidiaries in connection with the Transaction, this Agreement and the other Loan Documents and the transactions contemplated hereby and thereby.

  • Late Fees shall have the meaning set forth in Section 2(d).

  • Specified Expenses For any Test Period, (i) Rent incurred for the same Test Period, and (ii) the (1) income tax expense, (2) consolidated interest expense, (3) depreciation and amortization expense, (4) any nonrecurring, unusual, or extraordinary items of income, cost or expense, including but not limited to, (a) any gains or losses attributable to the early extinguishment or conversion of indebtedness, (b) gains or losses on discontinued operations and asset sales, disposals or abandonments, and (c) impairment charges or asset write-offs including, without limitation, those related to goodwill or intangible assets, long-lived assets, and investments in debt and equity securities, in each case, pursuant to GAAP, (5) any non-cash items of expense (other than to the extent such non-cash items of expense require an accrual or reserve for future cash expenses (provided that if such accrual or reserve is for contingent items, the outcome of which is subject to uncertainty, such non-cash items of expense may, at the election of the Tenant, be added to net income and deducted when and to the extent actually paid in cash)), (6) any Pre-Opening Expenses, (7) transaction costs for the spin-off of Tenant’s Parent, the entry into this Master Lease, the negotiation and consummation of the financing transactions in connection therewith and the other transactions contemplated in connection with the foregoing consummated on or before the date hereof, (8) non-cash valuation adjustments, (9) any expenses related to the repurchase of stock options, and (10) expenses related to the grant of stock options, restricted stock, or other equivalent or similar instruments; in the case of each of (1) through (10), of Tenant and the Subsidiaries of Tenant that are Guarantors on a consolidated basis for such period.

  • Workout-Delayed Reimbursement Amounts With respect to any Mortgage Loan or Serviced Loan Combination, the amount of any Advance made with respect to such Mortgage Loan or Serviced Loan Combination on or before the date such Mortgage Loan or Serviced Loan Combination becomes (or, but for the making of three monthly payments under its modified terms, would then constitute) a Corrected Loan, together with (to the extent accrued and unpaid) interest on such Advances, to the extent that (i) such Advance is not reimbursed to the Person who made such Advance on or before the date, if any, on which such Mortgage Loan or Serviced Loan Combination becomes a Corrected Loan and (ii) the amount of such Advance becomes a future obligation of the Mortgagor to pay under the terms of modified Loan Documents. That any amount constitutes all or a portion of any Workout-Delayed Reimbursement Amount shall not in any manner limit the right of any Person hereunder to determine in the future that such amount instead constitutes a Nonrecoverable Advance.

  • Capitalization Reimbursement Amount As to any Distribution Date, the amount of Advances or Servicing Advances that were added to the Stated Principal Balance of the related Mortgage Loans during the prior calendar month and reimbursed to the Master Servicer or Subservicer on or prior to such Distribution Date pursuant to Section 3.10(a)(vii), plus the Capitalization Reimbursement Shortfall Amount remaining unreimbursed from any prior Distribution Date and reimbursed to the Master Servicer or Subservicer on or prior to such Distribution Date.

  • Accrued Expenses means the accrued and unpaid expenses appearing as a Liability on the Preliminary Closing Statement or the Final Closing Statement.

  • Third Party Expenses has the meaning ascribed to it in Section 5.5.
