Change of Control Trigger Event means the occurrence of both a Change of Control and a Rating Decline.
Change of Control Trigger Event means the occurrence of both a Change of Control and, during the period beginning on the earlier of (i) the date of the first public notice or announcement with respect to a Change of Control and (ii) the occurrence of a Change of Control, and, in either case, ending 90 days after the occurrence of such Change of Control, a Ratings Event.

More Definitions of Change of Control Trigger Event

Change of Control Trigger Event means the occurrence of both a Change of Control and a Rating Decline. “ Clearstream ” means Clearstream Banking, société anonyme, Luxembourg, and any successor thereto.

Notwithstanding the foregoing, no Change of Control Trigger Event will be deemed to have occurred in connection with any particular Change of Control unless and until such Change of Control has actually been consummated.
