In support of contractual payment received, the tenderer shall submit Chartered Accountant Certificate as per Annexure-E.
The tenderers shall submit requisite information as per Annexure-VIB, along with copies of Audited Balance Sheets duly certified by the Chartered Accountant/ Certificate from Chartered Accountant duly supported by Audited Balance Sheet.
Further, it is hereby clarified that, the Public Offer Account Bank shall transfer all the proceeds due to each of the Selling Shareholders and the Company, as applicable from the Public Offer Account to such Selling Shareholder’s respective bank accounts only on receipt of final listing and trading approvals from the Stock Exchanges and such proceeds shall be net of the Offer Expenses and the STT and/or withholding taxes, as applicable, calculated based on the Chartered Accountant Certificate.

Such STT shall be deducted based on Chartered Accountant Certificate, and provided to the Book Running Lead Managers and the Book Running Lead Managers shall have no liability towards determination of the quantum of STT to be paid.
