Offer Expenses has the meaning given to such term in Clause 3.2.3.2(a) of this Agreement;

Examples of Offer Expenses in a sentence

  • In the event of any inconsistency in the manner of payment of Offer Expenses between the provisions of this Agreement and any provisions of any other agreements and arrangements, the provisions of this Agreement shall prevail.

  • Further, it is hereby clarified that until the receipt of final listing and trading approvals from the Stock Exchanges, the Public Offer Account Bank shall not transfer the monies due to the Company and the Selling Shareholders, as applicable, net of the Offer Expenses and the STT and/or Other Taxes from the Public Offer Account to the Company’s and the Selling Shareholders’ bank accounts, as applicable.

Offer Expenses includes all Offer related expenses as provided in Offer Documents whereby all the expenses proportionate to Selling Shareholders for the Offer shall be payable by the Selling Shareholders as specified in the Offer Agreement directly from the Public Offer Account and all expenses proportionate to fresh issue will be transferred to the Monitoring Account maintained by the Company, and such expenses will be paid from such accounts;
