Check Disbursement Agreement means the amended and restated Letter Agreement, dated as of the date hereof, among each Seller Entity, Buyer, Disbursement Agent, Deutsche Bank Trust Company Delaware and Deutsche Bank Trust Company Americas as may be amended from time to time.
