Chilean Guarantor definition

Chilean Guarantor means a Guarantor incorporated in the Republic of Chile.
Chilean Guarantor means MercadoLibre Chile Ltda., and each other Subsidiary incorporated under the laws of Chile that becomes a Guarantor pursuant to Section 5.12.

  • It is not required to make any deduction for or on account of Tax from any payment it may make under any Finance Document; except for the withholding tax applicable in the Republic of Chile in the amount of 35 per cent., or a lower rate withholding tax if a double tax treaty applies, that may be payable on any payment of interest made by a Chilean Guarantor under the Security Documents to a Lender not domiciled or resident in Chile.

  • Likewise, it will be the obligation and responsibility of the Chilean Guarantor to give evidence in respect of the due and prompt fulfilment of such foreign exchange obligations to the Secured Parties or to the Security Agent at their sole request.

  • The unenforceability, invalidity, illegality or voidability of the obligations guaranteed by any Chilean Guarantor may render the guarantee unenforceable against such Guarantor under Chilean law.

  • The enforceability of the obligations guaranteed by any Chilean Guarantor may be limited by bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium or other similar laws relating to or affecting creditors’ rights generally.

  • The Security Agent, being duly represented, hereby expressly accepts on behalf and for the benefit of the Secured Parties this guarantee granted by the Chilean Guarantor in this act.

  • It will be the obligation and responsibility of the Chilean Guarantor to promptly fulfil, with respect to the Central Bank of Chile or with respect to whom it may be required, each and all foreign exchange obligations that from time to time may result applicable to this guarantee agreement, including but not limited to information duties, prior authorizations that may be required, and/or any other foreign exchange obligation that from time to time may result applicable.

  • Any expenses, costs, taxes, and/or duties arising from this agreement or to be incurred as a result of it will be borne solely by the Chilean Guarantor.

  • If for any reason the Chilean Guarantor ceases to be a “Guarantor” (as defined in the Credit Agreement) in accordance with the terms of the Credit Agreement (specifically, but not limited pursuant to the provisions set out in clause 19.10 and 27.6 of the Facility Agreement), the Agent, acting on behalf and for the benefit of the Secured Parties, shall, at the cost and request of the Chilean Guarantor, promptly release and terminate the guarantee contained hereof.

Related to Chilean Guarantor

  • Canadian Guarantor means each Guarantor that is incorporated or otherwise organized under the laws of Canada or any province or territory thereof.

  • German Guarantor means a Guarantor incorporated under the laws of Germany as a GmbH.

  • Foreign Guarantor means Parent and each Guarantor that is a Foreign Subsidiary.

  • U.S. Guarantor means a Guarantor whose jurisdiction of organisation is a state of the United States or the District of Columbia.

  • Non-Guarantor means any Restricted Subsidiary that is not a Guarantor.

  • Canadian Guarantors means (i) each Canadian Borrower in its capacity as a guarantor under the Canadian Borrowers/Subsidiaries Guarantee and (ii) each other Canadian Subsidiary of Silgan.

  • Loan Guarantor means each Loan Party.

  • Foreign Guarantors means and includes each Foreign Borrower and each Foreign Subsidiary Guarantor.

  • Limited Guarantor With respect to any Series (or Class within such Series), a Person specified in the related Supplement as providing a guarantee or insurance policy or other credit enhancement supporting the distributions in respect of such Series (or Class within such Series) as and to the extent specified in such Supplement.

  • Subsidiary Guarantor means each Subsidiary that has executed and delivered a Subsidiary Guaranty.

  • Swiss Guarantor means any Guarantor incorporated or organized under the laws of Switzerland.

  • Canadian Guarantee means the Canadian Guarantee Agreement, made by each of the Canadian Guarantors in favor of the Canadian Administrative Agent for the benefit of the Lenders to the Canadian Borrower, substantially in the form of Exhibit A-1, as the same may be amended, supplemented or otherwise modified from time to time.

  • Canadian Guaranty means a Corporate Guaranty provided by an Affiliate of a Participant that is domiciled in Canada, and meets all of the provisions of Tariff, Attachment Q.

  • Specified Guarantor means any Guarantor that is not an “eligible contract participant” under the Commodity Exchange Act (determined prior to giving effect to Section 11.12).
