CIC Shareholders definition

CIC Shareholders means Xxx X. Xxxxxxx, Xxxx X. Xxxxxxx and Xxxxxxxxx X. Xxxxxxx.

  • CIC or the CIC Shareholders, as the case may be, shall have the right to exercise any and all voting rights with respect to the Escrow Shares.

  • In the event that the Escrow Agent receives any dividend or distribution on or in respect of the Escrow Shares which does not constitute Escrow Shares, the Escrow Agent agrees to promptly take all necessary actions to have such dividend or distribution transferred to CIC or to the CIC Shareholders, as the case may be.

  • In the event of termination of this Agreement by either Triad or CIC, as provided in this Section 9.16, this Agreement shall forthwith become void and of no further force and effect without any liability or obligation on the part of Triad, CIC or the Principal CIC Shareholders; provided, however, that nothing herein shall relieve any party from any liability for any breach by a party of any of its representations, warranties, covenants or agreements set forth in this Agreement.

  • CIC and the CIC Shareholders jointly and severally agree to pay all such reasonable fees and expenses of the Escrow Agent.
