The General Partner may enter into agreements and attend to all matters relating to the sale and distribution of Units; provided, no additional Class A Units shall be allotted and issued to any party other than the Class A Partner without the prior written consent of the Class A Partner and no additional Class B Units shall be allotted and issued to any party other than the Management Class B Partner without the prior written consents of all of the Limited Partners.

Class B Partner and “Class B Partners” means a Limited Partner, in its capacity as a holder of record of Class B Interests, in each case so long as such Person is shown on the Partnership’s books and records as the owner of Class B Interests hereunder (or Calpine Shares received in redemption therefor pursuant to Section 6.05), but excluding the Partnership, the General Partner and the Class A Partners in the event the Partnership, the General Partner and/or the Class A Partners purchase Class B Interests pursuant to this Agreement.

Class B Partner means KAI, in its capacity as a Limited Partner, and its permitted successors and assigns of such Limited Partner interest.

Class B Partner means an employee of the Company or any of its Affiliates who holds Class B Units.
