Class X Noteholders definition

Class X Noteholders means the holders of any Class X Notes from time to time.
Class X Noteholders means the persons who for the time being are the registered holders of the Class X Notes;
Class X Noteholders means the registered holders of the Class X Notes, from time to time; "Class X Notes" means the €21,850,000 Class X Notes due 2020, issued by the Issuer;

More Definitions of Class X Noteholders

Class X Noteholders means the persons who are for the time being the holders of the Class X Notes, which expression shall mean, whilst any Class X Global Note remains Outstanding in relation to the Class X Notes represented thereby, each person who is for the time being shown in the records of the Clearing System through which interests in the Class X Global Note, as applicable, are held as the holder of a particular principal amount of such Class X Notes for all purposes (in which regard any certificate or other document issued by the Clearing System as to the principal amount of Class X Notes represented by the global note standing to the account of any person shall be conclusive and binding for all purposes) other than with respect to the payment of any principal and interest on such Class X Notes, the right to which shall be vested, as against the Issuer, solely in the bearer of the Class X Note, as applicable, in accordance with and subject to its terms and the terms of the Trust Deed and “holder” (in respect of Class X Notes) shall be construed accordingly.

  • Class A Noteholders means, collectively, the Class A-1 Noteholders, the Class A-2 Noteholders, the Class A-3 Noteholders and the Class A-4 Noteholders.

  • Class A-1 Noteholders Interest Carryover Shortfall” means, with respect to any Payment Date, the excess of the Class A-1 Noteholders’ Monthly Accrued Interest for the preceding Payment Date and any outstanding Class A-1 Noteholders’ Interest Carryover Shortfall on such preceding Payment Date, over the amount in respect of interest that is actually paid to Holders of Class A-1 Notes on such preceding Payment Date, plus interest on the amount of interest due but not paid to Holders of Class A-1 Notes on the preceding Payment Date, to the extent permitted by law, at the Class A-1 Interest Rate for the related Interest Period.

  • Class B Noteholders Distribution Amount” means, for any distribution date, the sum of the Class B Noteholders’ Interest Distribution Amount and the Class B Noteholders’ Principal Distribution Amount for that distribution date.

  • Class D Noteholders means the holders of any Class D Notes from time to time.

  • Class A-2 Noteholders means the Class A-2a Noteholders and the Class A-2b Noteholders.

  • Class C Noteholders means the holders of any Class C Notes from time to time.

  • Class A-1 Noteholder means the Person in whose name a Class A-1 Note is registered on the Note Register.

  • Class A Noteholder means the Person in whose name a Class A Note is registered in the Note Register.

  • Class A Noteholders’ Distribution Amount means, for any distribution date, the sum of the Class A Noteholders’ Interest Distribution Amount and the Class A Noteholders’ Principal Distribution Amount for that distribution date.

  • Class A-2 Noteholder means the Person in whose name a Class A-2 Note is registered on the Note Register.

  • Class E Noteholder means the Person in whose name a Class E Note is registered on the Note Register.

  • Class A Noteholders’ Principal Distribution Amount means, for any distribution date, the Principal Distribution Amount times the Class A Percentage for that distribution date, plus any Class A Note Principal Shortfall as of the close of business on the preceding distribution date; provided that the Class A Noteholders’ Principal Distribution Amount will not exceed the outstanding principal balance of the class A notes, less all amounts, other than investment earnings, on deposit in the accumulation account.In addition, on the maturity date for any class of class A notes, the principal required to be distributed to the related noteholders will include the amount required to reduce the outstanding principal balance of that class to zero.

  • Class A Noteholders’ Monthly Accrued Interest means, with respect to any Payment Date, the aggregate interest accrued for the related Interest Period on the Class A-1 Notes, the Class A-2 Notes and the Class A-3 Notes at the respective Interest Rate for such Class on the Note Balance of the Notes of each such Class on the immediately preceding Payment Date or the Closing Date, as the case may be, after giving effect to all payments of principal to the Noteholders of the Notes of such Class on or prior to such preceding Payment Date.

  • Class B Noteholders’ Distribution Amount means, for any distribution date, the sum of the Class B Noteholders’ Interest Distribution Amount and the Class B Noteholders’ Principal Distribution Amount for that distribution date.

  • Class D Noteholders’ Monthly Accrued Interest means, with respect to any Payment Date, the aggregate interest accrued for the related Interest Period on the Class D Notes at the Class D Interest Rate on the Class D Note Balance on the immediately preceding Payment Date or the Closing Date, as the case may be, after giving effect to all payments of principal to the Class D Noteholders on or prior to such preceding Payment Date.

  • Class B Noteholder means the Person in whose name a Class B Note is registered in the Note Register.

  • Class A-4 Noteholder means the Person in whose name a Class A-4 Note is registered in the Note Register.

  • Class B Noteholders’ Monthly Accrued Interest means, with respect to any Payment Date, the aggregate interest accrued for the related Interest Period on the Class B Notes at the Class B Interest Rate on the Class B Note Balance on the immediately preceding Payment Date or the Closing Date, as the case may be, after giving effect to all payments of principal to the Class B Noteholders on or prior to such preceding Payment Date.

  • Class A-2a Noteholder means the Person in whose name a Class A-2a Note is registered in the Note Register.

  • Class B Noteholders’ Principal Distribution Amount means, for any distribution date, the Principal Distribution Amount times the Class B Percentage for that distribution date, plus any Class B Note Principal Shortfall as of the close of business on the preceding distribution date; provided that the Class B Noteholders’ Principal Distribution Amount will not exceed the principal balance of the class B notes.In addition, on the class B maturity date, the principal required to be distributed to the class B noteholders will include the amount required to reduce the outstanding principal balance of the class B notes to zero.

  • Class C Certificateholder means the person in whose name a Class C Certificate is registered on the Certificate Register.

  • Class A Certificateholder means the Person in whose name a Class A Certificate is registered in the Certificate Register.

  • Senior Noteholders means the holders of the Senior Notes.
