Closing Cash Distribution Amount definition

Closing Cash Distribution Amount shall have the meaning set forth in Section 3.2.

More Definitions of Closing Cash Distribution Amount

Closing Cash Distribution Amount means an amount equal to (A) the Company Purchase Price Portion, multiplied by (B) (i) the Purchase Price, minus (ii) the Transaction Expenses.
Closing Cash Distribution Amount. (a) $1,000,000 or (b) the difference of (i) the total amount of cash held by the Company as of immediately prior to the Merger I Effective Time minus (b) the total amount of Indebtedness of the Company Entities outstanding as of immediately prior to the Merger I Effective Time and the total amount of Company Transaction Expenses that remain unpaid as of immediately prior to the Merger I Effective Time.
