If, before the expiration of the Closing Statement Review Period, Buyer provides the Ceding Companies with a Dispute Notice, the Ceding Companies and Buyer shall attempt to amicably resolve, in writing, all matters set forth in the Dispute Notice (the “Disputes”) during the thirty (30) day period following receipt of the Dispute Notice by the Ceding Companies (the “Resolution Period”).
The Selling Shareholders shall notify Purchaser in writing (the “ Notice of Disagreement”) prior to the expiration of the Closing Statement Review Period if the Selling Shareholders disagree with the Proposed Closing Statement.
If Buyer fails to provide a Dispute Notice within the Closing Statement Review Period, the Phase 1 Closing Statement or Phase 2 Closing Statement, as applicable, shall be the Final Phase 1 Closing Statement or the Xxxxx Xxxxx 0 Xxxxxxx Xxxxxxxxx, as applicable, and shall be conclusive and binding upon the parties hereto.

If no Sellers’ Objection is received by Buyer prior to expiration of the Closing Statement Review Period, the calculations of the Closing Net Working Capital, the Closing Cash, the Closing Company Indebtedness or the Closing Company Transaction Expenses as set forth in the Post-Closing Statement delivered by Buyer shall be deemed to have been accepted by Sellers and become final and binding upon the Parties.
If Parent wishes to object to the content of the Preliminary Closing Statement, then Parent shall inform Xxxxx on or before the last day of the Closing Statement Review Period by delivering a written notice to Buyer (a “Statement Objection”) setting forth a description of the basis of the Statement Objection and the adjustments to the amounts set forth therein that Parent believes should be made.
If Parent provides Buyer with a Statement Objection prior to the expiration of the Closing Statement Review Period, then Parent and Buyer shall promptly attempt in good faith to resolve any dispute or disagreement relating to the Preliminary Closing Statement (the “Statement Dispute”).
If no Notice of Closing Statement Disagreement is received by Parent on or prior to the expiration date of the Closing Statement Review Period, then the Closing Statement and the Closing Indebtedness and Transaction Fees set forth in the Closing Statement shall be deemed to have been accepted by the Stockholder Representatives and shall become final and binding upon the Stockholder Representatives, the Consideration Recipients, the Company and Parent.
On or prior to the last day of the Closing Statement Review Period, the Company Representative may object to the Closing Statement by delivering to Parent a written statement setting forth their objections in reasonable detail, indicating each disputed item or amount and the basis for its disagreement therewith (the “Statement of Objections”).
