  • Franchising will be responsible for assuming all Liabilities constituting accounts payable of Choice and its Subsidiaries as of the Distribution Date (other than those relating to the CMBS Properties) (the "Choice Payables"), so long as such assumption would not cause the shareholders' equity of Franchising as of the Distribution Date (as determined in accordance with GAAP) (the "Franchising Equity") to be less than $40,000,000.

  • To the extent that any Grantor or any Subsidiary thereof is a party to any CMBS Documents, such Grantor shall, or cause any such Subsidiary to, perform and comply with its obligations under the CMBS Documents to the extent that failure by such Grantor or such Subsidiary to so comply could result in the failure to distribute any amount of, or reduce the distributable amount of, CMBS Properties Excess Cash Flow.


More Definitions of CMBS Properties

CMBS Properties as listed on Schedule 1.5 attached hereto; provided that, following the CMBS Release Date with respect to any CMBS Properties and the effectiveness of the releases thereof pursuant to Section 6.9(d), such properties will thereafter cease to be “CMBS Properties” for the purposes of the Loan Documents.
CMBS Properties means, in each case to the extent owned by a Subsidiary of the Company, the Existing CMBS Properties and the Acquired Properties listed in Parts I and II of Schedule III to this Agreement.

Related to CMBS Properties

  • Other Properties shall have the meaning set forth in Section 9.1.

  • Subject Properties has the meaning specified in Section 5.13(a).

  • Real Properties means, at any time, a collective reference to each of the facilities and real properties owned, leased or operated by the Consolidated Parties at such time.

  • Common Properties means and refer to those areas of land shown on any recorded subdivision plat of The Properties and intended to be devoted to the common use and enjoyment of the owners of The Properties.

  • Material Properties means (a) those Mortgaged Properties designated on Schedule 3.12 as Material Properties and (b) each other Mortgaged Property with respect to which a Mortgage is granted pursuant to Section 5.11 after the Restatement Effective Date.
