COD Longstop Date definition

COD Longstop Date means December 31, 2022, which date shall not be subject to adjustment except pursuant to Sections 11.1(g) and 12.1(b);

Examples of COD Longstop Date in a sentence

  • If FM delays the commencement of construction or the occurrence of commercial operation, then the CC Longstop Date, Target COD, and COD Longstop Date will be extended for such reasonable period of delay directly resulting from such FM event.

  • Each of the CC Longstop Date, Target COD, and COD Longstop Date will be extended for a reasonable period if an event of force majeure or a change in law delays Generator in the development or construction of the facility.

  • The Project must achieve commercial operation within 18 months after Target COD (the "COD Longstop Date") failing which AESO will have the option to terminate the RESA (in which case Generator will pay, as liquidated damages, a sum equal to the completion and performance security (i.e. $50,000 per MW, calculated based on the contract capacity of the project) and AESO’s remedies will be limited to such amount).

  • Longstop Date means 20 September 2020;

  • True-Up Date means the date which is forty-five (45) days after the latest to occur of the Termination Date of this Agreement, the Termination Date of the Single Family Agreement, if applicable, or disposition of all Assets pursuant to this Agreement or the Single Family Agreement, if applicable.   • Holding Limit Event means, assuming the investor is the Issuer and/or any of its affiliates, the Issuer together with its affiliates, in aggregate hold, an interest in the Underlying Stock, constituting or likely to constitute (directly or indirectly) ownership, control or the power to vote a percentage of any class of voting securities of the Underlying Stock, of the Underlying Stock in excess of a percentage permitted or advisable, as determined by the Issuer, for the purpose of its compliance with the Bank Holding Company Act of 1956 as amended by Section 619 of the Dodd-Frank Wall Street Reform and Consumer Protection Act (the Volcker Rule), including any requests, regulations, rules, guidelines or directives made by the relevant governmental authority under, or issued by the relevant governmental authority in connection with, such statutes.

  • Start-up Period means up to 7 Academy Financial Years and covers the period up to and including the first Academy Financial Year in which all age groups are present at the Academy (that is, all the pupil cohorts relevant to the age range of the Academy will have some pupils present).

  • Maximum horizontal acceleration in lithified earth material means the maximum expected horizontal acceleration depicted on a seismic hazard map, with a 90 percent or greater probability that the acceleration will not be exceeded in 250 years, or the maximum expected horizontal acceleration based on a site-specific seismic risk assessment.

  • Drop Dead Date has the meaning set forth in Section 9.01(b)(i).

  • Outside Date has the meaning set forth in Section 8.1(b).

  • LCA Test Date has the meaning assigned to such term in Section 1.06.

  • FILOT Act Minimum Investment Requirement means, with respect to the Project, an investment of at least $2,500,000 by the Company, or of at least $5,000,000 by the Company and any Sponsor Affiliates in the aggregate, in Economic Development Property.

  • Scheduled Completion Date shall be the date set forth in Clause 10.3;

  • Equity Conditions Measuring Period means each day during the period beginning twenty (20) Trading Days prior to the applicable date of determination and ending on and including the applicable date of determination.

  • Extension Minimum Condition means a condition to consummating any Extension that a minimum amount (to be determined and specified in the relevant Extension Request, in the Borrower’s sole discretion) of any or all applicable Classes be submitted for Extension.

  • Ramp-Up Period means the period from and including the Effective Date to, but excluding, September 23, 2016.

  • Second Liquidation Target Amount has the meaning assigned to such term in Section 6.1(c)(i)(E).

  • Roll-Up Transaction means a transaction involving the acquisition, merger, conversion or consolidation either directly or indirectly of the Company and the issuance of securities of a Roll-Up Entity to the Shareholders. Such term does not include:

  • Investment End Date : means 11 November 2022, or if such day is not a Scheduled Trading Day, the following day which is a Scheduled Trading Day.

  • Evaluation Date shall have the meaning ascribed to such term in Section 3.1(s).
