The Escrow Agent and each of the FB Parties acknowledges and understands that Integral 1 has established a Trust Account (as defined in the Business Combination Agreement) for the benefit of Integral 1’s public stockholders and that disbursements from the Trust Account are available only in the limited circumstances set forth in the Trust Agreement (as defined in the Business Combination Agreement).

Notwithstanding anything to the contrary contained herein, in the event that the Business Combination Agreement is terminated in accordance with its terms prior to the Closing, this Agreement shall automatically terminate and become null and void, and the parties shall not have any rights or obligations hereunder.
