Command Center or “Buyer”), are parties, Sellers hereby sell, transfer, assign, convey, grant, and deliver to Buyer, effective as of the Effective Time (as defined herein), all of Sellers’ right, title, and interest in and to all of the assets and agreements described on Schedule A hereto (collectively, the “Assets”). Sellers represent and warrant they are the owners of all of the Assets, that they have the requisite legal power and authority to transfer good and complete title to all of the Assets and that all of the Assets are free and clear of all liens, encumbrances, security interests, charges and restrictions of every kind and description.

Command Center means land and an existing building acquired by the City for use as a police command center.

• Diverts between protection units are to be requested through the appropriate Federal Agency GACC or Region Command Center (RCC).

• While in such standby status employees shall leave with the Command Center a telephone number at which they can be reached.

• Once the price is updated on the HP Command Center Service Catalogue, the change will take effect in the reseller’s next billing cycle.

• HP will apply the change in the HP Command Center Service Catalogue system and provide resellers required notice.
