Company Accounting Policies definition

Company Accounting Policies means the accounting principles, practices, policies, procedures, classifications, estimation techniques, judgments and methodologies set forth on Annex 1 hereto.
Company Accounting Policies means the Company’s collective system of accounting policies, procedures, methods, controls and practices applied on a basis consistent with those used in preparation of the Company’s monthly, quarterly and year-end financial statements. For the avoidance of doubt, the Company’s accounting policies are not in accordance with GAAP and, for purposes of illustration, do not include accruals or GAAP adjustments for revenue recognition, deferred revenues, reserves for warranty, bad debts, or inventory obsolescence, vacation pay, sick pay and similar expenses that might be required in preparation of financial statements in accordance with GAAP.
Company Accounting Policies means the accounting procedures and methodologies of the Company in effect as of July 31, 2010 with respect to GAAP and June 30, 2010 with respect to SAP.

  • Based upon such review and other information, the Independent Accountant shall determine the Closing Date Working Capital Amount and the Adjustment Amount Due strictly in accordance with the terms of this Section 1.04 and the Company Accounting Policies (the "Independent Accountant Determination").

More Definitions of Company Accounting Policies

Company Accounting Policies means the policies and methodologies set forth on Exhibit E hereto (Seller representing that these were the policies and methodologies that were applied to certain principles of GAAP in connection with the preparation of the Audited Financial Statements as of and for the fiscal year ended December 31, 2002) that, together with the Pro Forma adjustments referred to on Exhibit E hereto will be applied to calculate the Closing Date Working Capital Adjustment in a manner consistent with the manner in which such policies and methodologies were applied to prepare said Audited Financial Statements. For the avoidance of doubt, if, in applying the Company Accounting Policies, a conflict arises between (a) GAAP and the Company's historical accounting policies and methodologies as set forth on Exhibit E hereto, the Company's historical accounting policies and methodologies as so set forth shall prevail or (b) the definitions of Working Capital Assets and Working Capital Liabilities set forth in this Agreement and such definitions set forth in the Company Accounting Policies, such definitions in the Company Accounting Policies shall prevail.
Company Accounting Policies has the meaning set forth in Section 3.7(a) of this Agreement.

Company Accounting Policies means the accounting principles, practices, policies, procedures, classifications, estimation techniques, judgments and methodologies set forth in Schedule 1, which Company Accounting Policies were used by the Company in connection with the preparation of the Financial Statements and the Company in connection with the preparation of the Estimated Net Working Capital Statement.
