Company Cash Amount definition

Company Cash Amount means the Cash and Cash Equivalents of the Company as of the Determination Date, as calculated in accordance with Section 1.13.
Company Cash Amount means $149,000,000.
Company Cash Amount means the cash and cash equivalents held by the Company as of the Closing Date, as set forth on the Closing Cash Schedule.

  • If the Company elects a Company Cash Payment in accordance with Section 3(b), then the Company Cash Amount, if any, which is to be paid to the Holder on the applicable Installment Date shall be paid by the Company on such Installment Date, to the Holder by wire transfer of immediately available funds, in an amount in cash equal to the Installment Amount being repaid in cash, plus the Cash Payment Premium of the Principal portion of such Installment Amount, plus accrued and unpaid Interest.

  • In the event the Holder elects to convert all or any portion of the unpaid Company Cash Amount prior to the applicable Installment Date as set forth in the immediately preceding sentence, the Company Cash Amount so converted shall be deducted from the Installment Amount relating to the applicable Installment Date as set forth in the applicable Conversion Notice.

More Definitions of Company Cash Amount

Company Cash Amount means, with respect to the OppFi Companies and as of 12:01 a.m. on the Closing Date, all cash, cash equivalents, deposits and marketable securities held by or in the name of such OppFi Companies at such time, and shall include checks, ACH transactions and other wire transfers and drafts deposited or available for deposit for the account of such Person at such time, in each case as determined in accordance with GAAP; provided that Company Cash Amount shall be calculated net of issued but uncleared checks, drafts and outgoing wires of such OppFi Companies; provided, further, that Company Cash Amount shall not take into account any Transaction Expenses unpaid as of 12:01 a.m. on the Closing Date and shall be computed by adding back the amount of any Transaction Expenses paid by any of the OppFi Companies (and not reimbursed by the Buyer) prior to such time.
Company Cash Amount means an amount equal to (a) the aggregate cash, cash equivalents and marketable investments (including restricted cash) of the Acquired Companies as of immediately prior to Closing, on a consolidated basis, minus (b) the aggregate amount of Indebtedness outstanding pursuant to the Company Floorplan Agreement (and any Contract entered into in respect of a refinancing, replacement, amendment or amendment and restatement of the Company Floorplan Agreement) as of immediately prior to Closing, plus (c) any amounts that may be paid by the Company in settlement of the matters set forth on Items 1, 2, 3, 5 and 6 of Part 2.8 of the Company Disclosure Schedule, to the extent consented to by Parent in accordance with this Agreement.
Company Cash Amount means the amount of Cash as of the close of business on the Business Day immediately prior to the Closing Date less the amount of any such Cash used by the Company and the Company Subsidiaries to repay Debt or pay Transaction Expenses or used by the Company to pay a dividend or make any other distribution in respect of the Company Class A Units, in any such case, on the Closing Date prior to the Closing.
Company Cash Amount means the aggregate amount of all cash and cash equivalents held by the Group Companies as of the Reference Time (including checks, credit card receivables, bank deposits, but excluding restricted cash and customer deposits), whether or not kept “on site” or held in deposit, checking, savings, brokerage or other accounts of or in any safety deposit box or other storage device.
Company Cash Amount means the amount of Cash as of the Closing less the amount of any such Cash used by the Company and the Company Subsidiaries to repay Debt or pay Transaction Expenses or used by the Company to pay a dividend or make any other distribution in respect of the Company Interests, in any such case, prior to or at the Closing.
