Examples of Company Common Stock Equivalents in a sentence
Except for the Company Common Stock Equivalents or as contemplated by this Agreement, there are no existing options, warrants, convertible securities, calls, subscriptions, or other rights or other agreements or commitments obligating the Company to issue, transfer or sell, or caused to be issued, transferred or sold, contingently or otherwise, any shares of capital stock of the Company or any other securities convertible into or evidencing the right to subscribe for any such shares.
All of the Company Common Stock Equivalents will be fully vested upon a change of control of the Company.
Section 3.03 of the Company Disclosure Schedule identifies and describes the number of shares of Company Common Stock to be received upon exercise or conversion and the exercise or conversion price of each outstanding Company Stock Option (the "Company Common Stock Equivalents") as well as the aggregate number of shares of Company Common Stock and the aggregate exercise price for all of the outstanding Company Common Stock Equivalents.
All of the Company Common Stock Equivalents have been issued pursuant to the Company's Option Plans and may be assumed by Parent in accordance with Section 2.06 without consent of the holders thereof (or any such consent as may be required shall have been obtained and delivered to Parent not later than five days from the date of this Agreement).
