Other Common Stock definition

Other Common Stock means any other Capital Stock of the Issuer of any class which shall be authorized at any time after the date of this Warrant (other than Common Stock) and which shall have the right to participate in the distribution of earnings and assets of the Issuer without limitation as to amount.

Other Common Stock means each share of Common Stock held by Non-Continuing Shareholders which at the Effective Time will be converted into the right to receive the Merger Payment.

Other Common Stock means other classes of equity securities not limited to a fixed sum or percentage of a fixed sum in respect of participation in dividends or distribution of assets in voluntary or involuntary liquidation, dissolution or winding-up.

More Definitions of Other Common Stock

Other Common Stock means the common stock of a company other than the Company, including without limitation ASP Common Stock.

Other Common Stock has the meaning set forth in Section 2(c).

Other Common Stock means the Company’s outstanding Nonvoting Common Stock, par value $0.10 per share and Class B Nonvoting Common Stock, par value $0.01 per share.

Other Common Stock means (i) all MBI Securities issued in respect of shares of Common Stock (because of stock splits, stock dividends, reclassifications, recapitalizations or similar events), (ii) all MBI Securities that Mallinckrodt acquires pursuant to Sections 6.02, 6.03 or 6.04 and (iii) all MBI Securities issued in respect of MBI Securities that Mallinckrodt acquires pursuant to Sections 6.02, 6.03 or 6.04 (because of stock splits, stock dividends, reclassifications, recapitalizations or similar events). MBI Securities constituting "Other Common Stock" shall cease to be Other Common Stock if and when they cease to be owned by Mallinckrodt or an Affiliate of Mallinckrodt.

Other Common Stock shall have the meaning such term is given in Section 6.2(b) hereof.
