Examples of Company Debentures in a sentence
Other than as set out or reflected in the Financial Statements, or incurred in the Ordinary Course since the date of the Financial Statements or in connection with this Agreement or the Company Debentures, the Company does not have any liabilities or obligations of any nature (whether absolute, accrued, contingent or otherwise).
No Event of Default (as defined in the Company Debentures) has occurred or is occurring with regard to the Company Debentures.
This Plan of Arrangement and the Arrangement shall become effective, and be binding on the Purchaser, the Company, all holders and beneficial owners of Common Shares, Company Options, Company Warrants and Company Debentures, including Dissenting Shareholders, the registrar and transfer agent of the Company, the Depositary and all other Persons, at and after the Effective Time without any further act or formality required on the part of any Person.
There are no other issued and outstanding Company Shares and no commitments or Contracts to issue any Company Shares other than: (i) pursuant to the exercise of Company Options under the Company Option Plan that are outstanding immediately prior to the Closing; and (ii) Company Debentures and the 500 Startups Debenture that are outstanding immediately prior to the Closing.
The Company hereby represents, warrants and confirms to the Purchaser that all Company Debentures shall be repaid immediately prior to the Effective Date in accordance with the terms of the applicable debentures.
