Company Indebtedness Amount definition

Company Indebtedness Amount means an amount equal to all Indebtedness of the Company outstanding or existing as of the Effective Time.
Company Indebtedness Amount means the aggregate amount necessary to discharge in full the Company Indebtedness as of the Closing Date.
Company Indebtedness Amount means an amount equal to the aggregate amount of Indebtedness of the Company as of the Adjustment Time (without giving effect to the Closing) on the Closing Date in accordance with the Accounting Principles.

More Definitions of Company Indebtedness Amount

Company Indebtedness Amount means all Indebtedness of the Company as of the Closing Date as set forth on the Closing Indebtedness Schedule plus (a) the amount of any fees payable as a result of the Closing to persons listed on Schedule 3.23 and (b) any amounts payable as severance or termination payments pursuant to Company Agreements or employment agreements arising from the Merger and the transaction contemplated hereby.
Company Indebtedness Amount means the amount of Company Indebtedness as of the Measurement Time. “Company Insurance Plans” has the meaning set forth in Section 3.24.

Related to Company Indebtedness Amount

  • Company Indebtedness means all indebtedness of the Company (including without limitation, any loans, advances, letters of credit, bank overdrafts, capital lease obligations and all other indebtedness of any kind including interest, principal and fees).

  • Closing Indebtedness Amount has the meaning set forth in Section 1.4.

  • Intercompany Indebtedness means Indebtedness of Company or any of their respective Subsidiaries which is owing to any member of such group.

  • Estimated Indebtedness has the meaning set forth in Section 2.3(a).

  • Consolidated First Lien Indebtedness means Consolidated Total Indebtedness as of any date of determination that is secured by a Lien on any asset or property of the Borrower and its Restricted Subsidiaries, which Lien does not rank junior in priority to the Liens securing the Secured Obligations.

  • Subordinate Indebtedness means all present and future indebtedness, obligations, and liabilities of Borrower to Subordinate Lender under or in connection with the Subordinate Loan or the Subordinate Loan Documents.

  • Adjusted Indebtedness means, at any date, the result of (a) Seller’s Indebtedness on such date, minus (b) the unpaid principal of Seller’s Subordinated Debt on such date (to the extent such Subordinated Debt is excluded from Seller’s Indebtedness in calculating Seller’s Adjusted Tangible Net Worth on such date in accordance with the definition thereof).
