Company Knowledge Group definition

Company Knowledge Group means any of ▇▇▇▇ ▇. ▇▇▇▇▇, ▇▇▇▇▇▇ ▇. ▇▇▇▇▇▇▇▇, ▇▇▇▇▇▇ ▇. ▇▇▇▇▇, or ▇▇▇▇▇▇▇ ▇. ▇▇▇▇▇▇▇.
Company Knowledge Group has the meaning set forth in the definition of “Knowledge.”
Company Knowledge Group means the individuals set forth on Section 8.1 of the Disclosure Schedules.

Examples of Company Knowledge Group in a sentence

  • The Company has caused each member of the Company Knowledge Group to, prior to the date hereof, conduct a reasonable inquiry, with respect to each representation and warranty made by the Company in this Article III that is qualified by the Knowledge of the Company, of the other executives and managers having primary responsibility for such matters.

  • No obligor under any note or account receivable of the Company has notified the Company in writing (or any member of the Company Knowledge Group verbally) that it does not intend to pay any such note or account receivable.

  • For the purpose of this Agreement, "knowledge of the Company" and similar phrases means the actual knowledge, after due inquiry, of any executive officer of the Company included in the "Company Knowledge Group" set forth in the Company Disclosure Letter.

  • Except as set forth on Schedule 4.09(b), no Contract which is described or required to be described on Schedule 4.09(a): (i) has been materially breached, canceled or repudiated by the Company, and (ii) no such other party has indicated in writing to the Company or orally to the members of the Company Knowledge Group that it will stop or decrease the rate of business done with the Company, or that it desires to renegotiate its Contracts with the Company.

  • The following Persons shall have executed and delivered to Parent restrictive covenant agreements in the forms of Exhibit H, as applicable: the Key Unit Holder and each member of the Company Knowledge Group.

Related to Company Knowledge Group

  • Parent’s Knowledge means the actual knowledge of those individuals identified in Section 1.1(b) of the Parent Disclosure Schedule.

  • Company’s Knowledge means the actual knowledge of the executive officers (as defined in Rule 405 under the ▇▇▇▇ ▇▇▇) of the Company, after due inquiry.
