Company Material Contract definition

Company Material Contract has the meaning set forth in Section 3.15(a).
Company Material Contract shall have the meaning set forth in Section 4.16(a).
Company Material Contract means the following to which the Company or any of its Subsidiaries is a party or any of the respective assets are bound (excluding any Leases):

Examples of Company Material Contract in a sentence

  • As to the Company, as of the date of this Agreement, each Company Material Contract is valid, binding, enforceable and in full force and effect, subject to the Enforceability Exceptions.

  • No Person is renegotiating, or has a right pursuant to the terms of any Company Material Contract to change, any material amount paid or payable to the Company under any Company Material Contract or any other material term or provision of any Company Material Contract.

  • As to the Company and its Subsidiaries, as of the date of this Agreement, each Company Material Contract is valid, binding, enforceable and in full force and effect, subject to the Enforceability Exceptions.

  • Neither the Company nor any Company Subsidiary has received notice of any violation or default under any Company Material Contract, except for violations or defaults that would not, individually or in the aggregate, reasonably be expected to have a Company Material Adverse Effect.

  • None of the Company or any Company Subsidiary, nor, to the Knowledge of the Company, any other party thereto, is in material breach or violation of, or default under, any Company Material Contract, and no event has occurred that with notice or lapse of time or both would constitute a violation of, breach of or default under any Company Material Contract, in each case, except as individually or in the aggregate would not reasonably be expected to have a Company Material Adverse Effect.
