Examples of Company Material Contracts in a sentence
None of the Company Material Contracts has been assigned, or if applicable subleased, in whole or in part.
Except as disclosed in Section 3.11(b) of the Company Disclosure Schedule, all Company Material Contracts are valid, binding and in full force and effect and enforceable against the Company or its Subsidiaries in accordance with their respective terms, subject to bankruptcy, insolvency, reorganization and other Laws of general applicability relating to or affecting creditors’ rights and to general equity principles.
To its knowledge, the Company has performed all of the obligations required to be performed by it and is entitled to all benefits under, and is not in default or alleged to be in default in respect of, the Company Material Contracts.
There is no dispute between the Company and any other party under any of the Company Material Contracts.
To the Company’s knowledge, each of the Company Material Contracts is in good standing and in full force and effect, and no event, condition or occurrence exists that, after notice or lapse of time or both, would constitute a default under any of the Company Material Contracts.
