• The Company Financial Statements (including the notes thereto) have been prepared in accordance with GAAP applied on a consistent basis throughout the periods covered thereby and present fairly in all material respects the financial condition of the Company as of such dates and the results of operations of the Company for such periods; provided, however, that the Company Most Recent Financial Statements are subject to normal year-end adjustments and lack notes and other presentation items.

• The Company Most Recent Financial Statements reflect an adequate reserve for all Taxes payable by the Company and the Company Subsidiary for all taxable periods and portions thereof through the Company Balance Sheet Date).
