Company Share Charge a share charge to be entered into by Xxxxxx in favour of Aetos Parties, pursuant to which Xxxxxx agreed to charge the 20% of the issued Shares held by it in favour of Aetos Parties as security for the obligation of Yida Parties under the Settlement Agreement
Company Share Charge means the first ranking equitable share mortgage over all of the shares of the Company dated on or before the Signing Date between the Parent and the Security Agent.
Company Share Charge has the meaning given to it in para 3(a) of Part 1 of Schedule 2 (Conditions Precedent (Utilisation).

Company Share Charge means the share charge to be executed by the Parent as chargor in favour of the Security Agent in respect of all its shares in the Company.

If any reclassification or reorganization also results in a change in shares of Common Stock covered by subsection 4.1.1, then such adjustment shall be made pursuant to subsection 4.1.1 or Sections 4.2, 4.3 and this Section 4.4. The provisions of this Section 4.4 shall similarly apply to successive reclassifications, reorganizations, mergers or consolidations, sales or other transfers. In no event will the Warrant Price be reduced to less than the par value per share issuable upon exercise of the Warrant.

  • Company Shareholder means a holder of Company Shares.

  • Equity Share Capital means the total issued and paid-up equity share capital of the Company, calculated on a Fully Diluted Basis.

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.

  • Employee Share Scheme means a scheme established by a company, whether by means of a trust or otherwise, for the purpose of offering 10 participation therein solely to employees and officers of the company or a subsidiary of the company, either—

  • Fully Diluted Company Shares means the total number of issued and outstanding shares of Company Common Stock, (a) after giving effect to the Company Preferred Stock or otherwise treating shares of Company Preferred Stock on an as-converted to Company Common Stock basis, and (b) treating all outstanding in-the-money Specified Company Warrants as fully vested and as if the Specified Company Warrants had been exercised for cash as of the Effective Time, but for the avoidance of doubt excluding any Company Securities described in Section 1.11(b).

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Newco Shares means the common shares in the capital of Newco;

  • Per Share Stock Consideration has the meaning set forth in Section 3.01(a)(i).

  • Subco Shares means the common shares in the capital of Subco;

  • Company Security means any class or series of equity or voting interest in the Company (but excluding any options, rights, warrants and appreciation rights relating to an equity or voting interest in the Company), including Common Shares and the Voting Share.
