Company’s Option. Section 3.1(b)
Company’s Option means the right of the Company to issue, within 48 days of the date of the Purchase Agreement, additional Securities in an aggregate principal amount up to $11,000,000 less the aggregate principal amount of Securities acquired by the Initial Purchaser pursuant to the Initial Purchaser's Option. The Company may not issue more than $4,000,000 aggregate principal amount of Additional Securities pursuant to the Company's Option prior to the expiration of the Initial Purchaser's Option without the Initial Purchaser's prior written consent.

Examples of Company’s Option in a sentence

  • In the event an appraisal is necessary, the Company’s Option or the Major Investors’ Option, as the case may be, shall run for ten (10) days after the delivery of the appraisal determining the value.

  • If the Company fails to exercise the Company’s Option in full within the Company Option Period, all or the remainder of the Offered Shares shall be subject to the Major Investor’s Option (as defined below) and Co-Sale Rights (as defined below); provided that the Company may waive its rights under this Section 3.1(b) (Company’s Option) prior to the expiration of the Company Option Period by giving written notice to the Seller, with a copy to the Major Investors.

  • Upon the expiration of the thirty days, Company’s Option shall expire.

  • Employee Option means an Option granted pursuant to Section 5.

  • Restricted Stock Plan means the RPM, Inc. 1997 Restricted Stock Plan and any successor plan or arrangement thereto.

  • Director Option means an Option granted pursuant to Section 6.

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Company ESPP means the Company’s Employee Stock Purchase Plan.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Nonqualified Stock Option means an Option that is not an Incentive Stock Option.

  • INDEPENDENT STOCK APPRECIATION RIGHT or "INDEPENDENT RIGHT" means a right granted pursuant to subsection 8(b)(3) of the Plan.

  • Employee Stock Purchase Plan means a plan that grants Purchase Rights intended to be options issued under an “employee stock purchase plan,” as that term is defined in Section 423(b) of the Code.

  • RSU Award or “RSU” means an Award of restricted stock units representing the right to receive an issuance of shares of Common Stock which is granted pursuant to the terms and conditions of Section 5(a).

  • Restricted Stock Award means an award of shares of Common Stock which is granted pursuant to the terms and conditions of Section 6(a).

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Performance Option means an Incentive Stock Option or Nonqualified Stock Option, the grant of which or the exercisability of all or a portion of which is contingent upon the attainment of specified Performance Measures within a specified Performance Period.

  • Restricted Stock Grant means Shares awarded under the Plan as provided in Section 9.

  • Restricted Stock Award Agreement means a written agreement between the Company and a holder of a Restricted Stock Award evidencing the terms and conditions of a Restricted Stock Award grant. Each Restricted Stock Award Agreement will be subject to the terms and conditions of the Plan.

  • Option Exercise Period has the meaning set forth in Section 5.3(c).

  • Deferred Stock Award means Awards granted pursuant to Section 8.

  • Restricted Stock Units means an Award of stock units subject to such restrictions and conditions as the Administrator may determine at the time of grant.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Company Stock Option means each option to purchase shares of Company Common Stock outstanding under the Company Stock Plans.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Option 3 [ ] A Participant satisfies the Plan's Early Retirement Age conditions by attaining age ________ (not less than 55) and completing ________ Years of Vesting Service.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Purchase Right means an option to purchase shares of Common Stock granted pursuant to the Plan.
