Condition or Release means any presence, use, storage, transportation, discharge, disposal, release or threatened release of any Hazardous Materials. “Control” means the possession, directly or indirectly, of the power to direct, cause, or significantly influence the direction of the management or policies of a Person, whether through the ability to exercise voting power, by contract or otherwise. “Controlling” and “Controlled” have meanings correlative thereto. “Default Rate” has the meaning ascribed to such term in Section 2.4.1. “Disclosure Schedule” means, in aggregate, the disclosures contemplated herein as included in the Disclosure Schedule, which has been delivered in connection with the execution of this Agreement. “Employee Benefit Plan” means an “employee benefit plan” within the meaning of Section 3(3)
