Conditions Certificates means the written notice to be delivered by the Participating CCAA Parties and the Parent to the Monitor confirming, as applicable, the fulfilment or waiver to the extent available of the conditions precedent to implementation of the Plan, as described in Section 11.3 of the Plan;

  • WREGIS Certificates has the same meaning as “Certificate” as defined by WREGIS in the WREGIS Operating Rules and are designated as eligible for complying with the California Renewables Portfolio Standard.

  • Class S Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-22 hereto and evidencing an undivided beneficial interest in the Class S Specific Grantor Trust Assets.   • Book-Entry Preferred Securities Certificates means a beneficial interest in the Preferred Securities Certificates, ownership and transfers of which shall be made through book entries by a Clearing Agency as described in Section 5.11.

  • Physical Certificates As specified in the Preliminary Statement.

  • Non-Book Entry Certificates As defined in Section 5.02(c)(iii) of this Agreement.

  • Closing Certificates means the officer’s certificates referenced in Section 7.3 and Section 8.3.

  • Distribution Conditions means, with respect to any Restricted Payment or Restricted Junior Debt Prepayment, the following:
