Conflicts of Interest Plan definition

Conflicts of Interest Plan means, with respect to any TALF Agent, a conflicts of interest identification and remediation plan meeting the requirements set forth in the FRBNY Conflicts of Interest Policy designed to address actual or potential conflicts of interest that may arise from the multiple roles that a TALF Agent and its organization may play with regard to potential Borrowers, Collateral and other activities relevant to its TALF participation.
Conflicts of Interest Plan means, with respect to any TALF Agent, a conflicts of interest identification and remediation plan, consistent with the guidance provided by Lender and reasonably satisfactory to Lender, that is designed to address actual or potential conflicts of interest that may arise, and the remediation thereof, in circumstances including, but not limited to, the following: (i) (x) such TALF Agent any of its Affiliates, or any other Person that has been formed or sponsored by, or is Controlled or managed by or otherwise affiliated with, such TALF Agent or any of its Affiliates, intends to be a Borrower (any of the foregoing, a “Specified Potential Borrower”), (y) such TALF Agent is the Applicable TALF Agent with respect to such Specified Potential Borrower or (z) such TALF Agent or any of its Affiliates have acted as underwriter, sponsor or issuer of any of the securities proposed or to be proposed as Collateral for any Loan to be made to such Specified Potential Borrower, (ii) such TALF Agent has acted as the Market Intermediary of any of the securities proposed or to be proposed as Legacy CMBS Collateral for any Loan to any Applicable Borrower, (iii) the CUSIP number of any of the securities proposed or to be proposed as Legacy CMBS Collateral for any Loan to any Borrower is maintained by such TALF Agent in a proprietary account or an account managed by such TALF Agent on behalf of any of such TALF Agent’s customers or (iv) such TALF Agent manages any investment funds through which any Applicable Borrower has purchased or does purchase Legacy CMBS Collateral (“Legacy CMBS Collateral Funds”); provided, that with respect to clause (iv), the Conflicts of Interest Plan shall also address the manner in which such TALF Agent will ensure unbiased decision making with respect to such investment funds.

  • Applicable Maturity Date has the meaning assigned to such term in Section 2.25(a).

  • Interest Portion means that portion of Trust Bond Loan Repayments payable by a Borrower under such Borrower’s Loan Agreement that is necessary to pay any such Borrower’s proportionate share of interest on the Bonds (i) as set forth in Exhibit A-2 of any such Loan Agreement under the column heading entitled “Interest”, or (ii) with respect to any prepayment or acceleration, as the case may be, of Trust Bond Loan Repayments in accordance with Section 3.07 or 5.03 of any such Loan Agreement, to accrue on any principal amount of Trust Bond Loan Repayments to the date of the redemption or acceleration, of the Bonds allocable to such prepaid or accelerated Trust Bond Loan Repayment.
