Consolidated Debt to Consolidated EBITDA Ratio definition

Consolidated Debt to Consolidated EBITDA Ratio means the ratio of Consolidated Debt to Consolidated EBITDA.
Consolidated Debt to Consolidated EBITDA Ratio means, as of any date of determination, the ratio of (i) Consolidated Debt as of such date of determination, minus unrestricted cash and Cash Equivalents of the Parent Borrower and the other Credit Parties that are subject to first priority Liens in favor of the Secured Parties to (ii) Consolidated EBITDA of the Parent Borrower for the Test Period then last ended, in each case, with such pro forma adjustments as are appropriate and consistent with the pro forma adjustment provisions set forth in Section 1.12.
Consolidated Debt to Consolidated EBITDA Ratio means, as of the last day of any fiscal quarter of Borrower, the ratio of (a) Consolidated Debt as of such day to (b) Consolidated EBITDA for the four (4) consecutive fiscal quarter period of Borrower ending on such day.

Examples of Consolidated Debt to Consolidated EBITDA Ratio in a sentence

  • The Borrower will not permit the Consolidated Debt to Consolidated EBITDA Ratio to exceed 3.00 to 1.0 measured as of the end of each Fiscal Quarter (and in the case of Consolidated EBITDA, for the four-quarter period ending on such date).

  • Following the expiration of any Adjustment Period, the maximum Consolidated Debt to Consolidated EBITDA Ratio cannot be subsequently increased again as provided in the first proviso above (and a subsequent Adjustment Period cannot commence) until the Borrower has delivered a quarterly Compliance Certificate evidencing that the maximum Consolidated Debt to Consolidated EBITDA Ratio does not exceed 3.50 to 1.0 for at least four (4) consecutive Fiscal Quarters.

  • Following the expiration of any Adjustment Period, the maximum Consolidated Debt to Consolidated EBITDA Ratio cannot be subsequently increased again as provided in the first proviso above (and a subsequent Adjustment Period cannot commence) until the Borrower has delivered a quarterly Compliance Certificate evidencing that the maximum Consolidated Debt to Consolidated EBITDA Ratio does not exceed 3.75 to 1.0 for at least four (4) consecutive Fiscal Quarters.

  • Borrower will have a Consolidated Debt to Consolidated EBITDA Ratio of not more than (A) 2.25 to 1.0 as of the last day of each fiscal quarter of Borrower ending during the period commencing on the date of this Agreement and ending November 11, 2000, and (B) 1.75 to 1.0 as of the last day of each fiscal quarter of Borrower ending on or after November 12, 2000.

  • The Borrower will not permit the Consolidated Debt to Consolidated EBITDA Ratio to exceed: (i) 6.0 to 1.0 as of December 31, 2009 and Xxxxxxxx 00, 0000, (xx) 5.5 to 1.0 as of December 31, 2011, and (iii) 4.5 to 1.0 as of December 31, 2012, and as of the end of each Fiscal Year thereafter.

Consolidated Debt to Consolidated EBITDA Ratio in Section 1.01. of the Credit Agreement is hereby amended by adding a new sentence at the end of such definition which sentence shall read in its entirety as follows: Solely for purposes of calculating compliance with Section 6.12(c) hereof and not for purposes of determining the Applicable Rate, during the period from the PCN Acquisition Closing Date through May 29, 2006, Consolidated Debt shall include the PCN Maximum Gross Profit Earn-out Amount.
