Consolidated Debt to Equity Ratio definition

Consolidated Debt to Equity Ratio means, as of any date of determination, the ratio of (i) Consolidated Funded Debt as of such date to (ii) Consolidated Equity as of such date.
Consolidated Debt to Equity Ratio means, with respect to any determination date, the ratio of Consolidated Debt of the Parent Guarantor as of the date of the most recent annual or semi-annual half year or quarterly consolidated balance sheet (the "Most Recent Balance Sheet Date") to the Consolidated Net Worth of the Parent Guarantor as of the Most Recent Balance Sheet Date. In the event that the Parent Guarantor or any Restricted Subsidiary Incurs, assumes, Guarantees, redeems, repays, discharges, defeases, retires or extinguishes any Consolidated Debt (other than Consolidated Debt incurred under any revolving credit facility unless (x) such Indebtedness has been permanently repaid and has not been replaced or (y) such Indebtedness was reduced with proceeds of an Equity Offering or other Indebtedness) or issues or redeems Disqualified Stock or Preferred Stock subsequent to the Most Recent Balance Sheet Date for which the Consolidated Debt to Equity Ratio is being calculated but prior to or simultaneously with the event for which the calculation of the Consolidated Debt to Equity Ratio is made (the "Consolidated Debt to Equity Ratio Calculation Date"), then the Consolidated Debt to EquityRatio shall be calculated giving pro forma effect to such Incurrence, assumption, Guarantee, redemption, repayment, discharge, defeasance, retirement or extinguishment of Indebtedness, or such Issuance or redemption of Disqualified Stock or Preferred Stock as if the same had occurred on the Most Recent Balance Sheet Date. For purposes of making the computation referred to above, any Investments, acquisitions, dispositions, mergers, consolidations and disposed operations that have been made by the Parent Guarantor or any of its Restricted Subsidiaries on or prior to or simultaneously with the Consolidated Debt to Equity Ratio Calculation Date shall be calculated on a pro forma basis assuming that all such Investments, acquisitions, dispositions, mergers, consolidations and disposed or discontinued operations had occurred on the Most Recent Balance Sheet Date. For purpose of this definition, whenever pro forma is to be given to a transaction, the pro forma calculations shall be made in good faith by a responsible financial or accounting officer of the Parent Guarantor.
Consolidated Debt to Equity Ratio means, with respect to any Person on any determination date, the ratio of Consolidated Debt of such Person as of such determination date to the Consolidated Stockholders Equity of such Person as of such determination date. In the event that the Company or any Restricted Subsidiary Incurs, assumes, Guarantees, redeems, defeases, retires or extinguishes any Consolidated Debt (other than Consolidated Debt Incurred under any revolving credit facility unless (x) such Indebtedness has been permanently repaid and has not been replaced or (y) such Indebtedness was reduced with proceeds of an Equity Offering or other Indebtedness) or issues or redeems Disqualified Stock or Preferred Stock subsequent to the date of the most recent annual or quarterly consolidated balance sheet for which the Consolidated Debt to Equity Ratio is being calculated but prior to or simultaneously with the event for which the calculation of the Consolidated Debt to Equity Ratio is made (the “Consolidated Debt to Equity Ratio Calculation Date”), then the Consolidated Debt to Equity Ratio shall be calculated giving pro forma effect to such Incurrence, assumption, guarantee, redemption, defeasance, retirement or extinguishment of Indebtedness, or such Issuance or redemption of Disqualified Stock or Preferred Stock as if the same had occurred prior to such determination date; provided, however, that the pro forma calculation shall not give effect to any Indebtedness Incurred on such determination date pursuant to Section 3.2(b). For purposes of making the computation referred to above, any Investments, acquisitions, dispositions, mergers, consolidations and disposed operations that have been made by the Company or any of its Restricted Subsidiaries on or prior to or simultaneously with the Consolidated Debt to Equity Ratio Calculation Date shall be calculated on a pro forma basis assuming that all such investments, acquisitions, dispositions, mergers, consolidations and disposed or discontinued operations had occurred prior to the Consolidated Debt to Equity Ratio Calculation Date. For purposes of this definition, whenever pro forma effect is to be given to a transaction, the pro forma calculations shall be made in good faith by a responsible financial or chief accounting officer of the Company.

Examples of Consolidated Debt to Equity Ratio in a sentence

  • HA INC shall not permit, as of any date, the Consolidated Debt to Equity Ratio to equal or exceed 4.00 to 1.00 as of such date; provided that, for purposes of the Compliance Certificate required to be delivered pursuant to Section 11.1.1(e) of the Loan Agreement, such Compliance Certificate will calculate the Consolidated Debt to Equity Ratio as of the last day of the Fiscal Quarter that ended immediately prior to the delivery of such Compliance Certificate.
