Consolidated Long Term Debt definition

Consolidated Long Term Debt as of any date of determination, all long term debt of the Borrower and its Restricted Subsidiaries as determined on a Consolidated basis in accordance with GAAP and as disclosed on the Borrower’s consolidated balance sheet most recently delivered under subsection 6.1.
Consolidated Long Term Debt means, as of the date of any determination thereof, the total of all Long Term Debt of the Guarantor and its Subsidiaries outstanding on such date, after eliminating all offsetting debits and credits between the Guarantor and its Subsidiaries and all other items required to be eliminated in the course of the preparation of consolidated financial statements of the Guarantor and its Subsidiaries in accordance with GAAP.
Consolidated Long Term Debt means, for any period, all Indebtedness of the Borrower and its Subsidiaries, or any portion thereof, determined on a consolidated basis and in accordance with GAAP, the maturity of which extends beyond twelve (12) months from the date of calculation of Consolidated Long Term Debt.

  • The Company shall not at any time permit Consolidated Long Term Debt plus current maturities of Consolidated Long Term Debt to exceed 65% of Consolidated Total Capitalization.

  • FSA will not permit the ratio of Consolidated Long Term Debt to Total Capitalization at any fiscal quarter end of FSA to be greater than 0.3 to 1.0.

Consolidated Long Term Debt means, as of any date, all consolidated Debt of the Company and its Subsidiaries which is classified as "long term" in accordance with GAAP, together with the aggregate of all portions of Consolidated Long-Term Debt classified as "current maturities" in accordance with GAAP.

Consolidated Long Term Debt means, on any date of determination, the total Indebtedness of the Borrower and its Consolidated Subsidiaries having a maturity of one year or more from the date of its creation, and shown or reflected as “long-term indebtedness” on the consolidated balance sheet of the Borrower as of the most recent fiscal quarter end immediately preceding such date of determination for which consolidated financial statements of the Borrower have been issued, and determined in accordance with GAAP; provided that “Consolidated Long Term Debt” shall not include (a) any Indebtedness of or related to each variable interest entity that the Borrower and its Consolidated Subsidiaries are required to consolidate (including, without limitation, pursuant to FASB Interpretation No. 46R – Consolidation of Variable Interest Entities: an interpretation of ARB No. 51 (December 2003) (or any amendment, supplement or restatement thereof, including SFAS 167, as codified in FASB Accounting Standards Codification (ASC) 810)), (b) any Indebtedness of the Borrower and its Consolidated Subsidiaries under the Existing Soft Capital Facility or any other Soft Capital Indebtedness, (c) any Indebtedness of the Borrower and its Consolidated Subsidiaries existing on the Effective Date (and any and all refinancings thereof) and (d) any of the Obligations.
