Consolidated Unfunded Capital Expenditures definition

Consolidated Unfunded Capital Expenditures means, for any period, Consolidated Capital Expenditures that are not directly financed by the Companies with long-term Indebtedness (other than Revolving Loans) or Capitalized Lease Obligations, as determined on a Consolidated basis.

Consolidated Unfunded Capital Expenditures means, as to any Person, the aggregate amount of the Unfunded Capital Expenditures by such Person and its Consolidated Subsidiaries, computed and consolidated in accordance with GAAP.

Consolidated Unfunded Capital Expenditures means those Consolidated Capital Expenditures of the Company and its Subsidiaries not funded by Indebtedness; provided that, for purposes of this definition only, "Indebtedness" shall not include Indebtedness arising under this Agreement.

Examples of Consolidated Unfunded Capital Expenditures in a sentence

The debt service coverage ratio is defined in the credit facility as the ratio of Consolidated Pro Forma EBITDA less the sum of capital distributions paid in cash (other than those made with respect to the preferred stock issued under the Operating Agreement), Consolidated Unfunded Capital Expenditures (as defined in the credit facility), and net cash income taxes to the sum of cash interest expense, any dividends on the preferred stock paid in cash, and scheduled principal payments on funded indebtedness.
The Credit Parties shall not invest in Consolidated Unfunded Capital Expenditures more than an aggregate amount equal to (i) Two Million Five Hundred Thousand Dollars ($2,500,000) during the fiscal year of the Borrower ending September 30, 2018, and (ii) Three Million Five Hundred Thousand Dollars ($3,500,000) during the fiscal year of Borrower ending September 30, 2019 and during any fiscal year thereafter.

For clarity and the avoidance of doubt, the term “Consolidated Unfunded Capital Expenditures” shall exclude up to $2,000,000 in the aggregate for any period of four consecutive Fiscal Quarters of Consolidated Capital Expenditures for HyperWorks Unlimited Hardware Acquisitions.

Consolidated Unfunded Capital Expenditures means Capital Expenditures of Aceto and its Subsidiaries and/or Domestic Subsidiaries, as applicable, financed other than by the incurrence of Indebtedness, in each case determined on a consolidated basis for such period.

Consolidated Unfunded Capital Expenditures means, for any period, as determined on a Consolidated basis, all additions to fixed assets of the Companies not directly funded with (a) long-term Indebtedness or (b) Capitalized Lease Obligations.
