Consultation Rights shall have the meaning set forth in Section 6.10. “Credit Agreement” means (i) the Existing Credit Agreement and (ii) any agreement (including any credit agreement, loan agreement, indenture or other financing agreement) extending the maturity of, consolidating, restructuring, refunding, replacing or refinancing all or any portion of the obligations under the Existing Credit Agreement, whether by the same or any other lender, debt holder or group of lenders or debt holders or the same or any other agent, trustee or representative therefor and whether or not increasing or decreasing the amount of any Indebtedness (as defined in the Existing Credit Agreement) that may be incurred thereunder. “Deficiency” shall have the meaning set forth in Section 6.6(a)(v). “Delaware Act” means the Delaware Limited Liability Company Act, 6 Del. L. § 18-101, et seq., as it may be amended from time to time, and any successor to the Delaware Act. “Distribution” means each distribution made by the LLC to a Unitholder with respect to such Person’s Units, whether in cash, property or securities of the LLC or otherwise and whether by liquidating distribution, redemption, repurchase, or otherwise; provided that any pro rata recapitalization or exchange or conversion of securities of the LLC, or any redemption or repurchase of securities of the LLC, in each case, pursuant to

  • MRI shall exercise the Consultation Rights in a reasonable manner and not so as to frustrate the full and timely development, production and/or exploitation of each Picture.
