Continuing Company Shares definition

Continuing Company Shares means 461,076 shares of Common Stock, being the shares resulting from the conversion in TRH, Inc.'s merger with Titan of shares of Titan common stock owned by Officer as of December 1, 1999, plus any shares of Common Stock acquired by Officer pursuant to the exercise of any stock options previously or hereafter granted to Officer pursuant to any stock option or similar stock incentive plan of the Company.
Continuing Company Shares means See Schedule I attached shares ----------------------- of Common Stock, being the shares resulting from the conversion in TRH, Inc.'s merger with Titan of shares of Titan common stock owned by Officer as of December 1, 1999, plus any shares of Common Stock acquired by Officer pursuant to the exercise of any stock options previously or hereafter granted to Officer pursuant to any stock option or similar stock incentive plan of the Company.
Continuing Company Shares means Company Ordinary Shares which remain outstanding immediately prior to the Company Merger Effective Time, including any Company Ordinary Shares which by their terms, the terms of this Agreement or any election made by the holder thereof shall be converted or exchanged at or prior to the Company Merger Effective Time, but excluding, in each case, Dissenting Company Shares. For the avoidance of doubt, Continuing Company Shares shall exclude Company Ordinary Shares that are redeemed at or prior to the Company Merger Effective Time.

Examples of Continuing Company Shares in a sentence

  • If Executive exercises the Put Option within the specified period by giving notice (the "Put Notice") to the Company of his or her election to do so (the date such notice is given is the "Put Date"), the Company shall be required to purchase all (but, subject to Section 18(e), not less than all) of the Continuing Company Shares specified by Executive in the Put Notice, such purchase to be effected in the manner, upon the terms and for the consideration set forth hereafter.

  • As consideration for the Company Merger, the holders of the Continuing Company Shares shall be entitled to receive from Holdings the Company Merger Consideration (subject to Section 2.08(c)) in proportion to their ownership interests in the Company, as such proportionate ownership interests are set forth on a schedule to be delivered to SPAC by the Company at least three (3) days prior to the Closing Date.

  • Fully Diluted Company Shares means the total number of issued and outstanding shares of Company Common Stock, (a) after giving effect to the Company Preferred Stock or otherwise treating shares of Company Preferred Stock on an as-converted to Company Common Stock basis, and (b) treating all outstanding in-the-money Specified Company Warrants as fully vested and as if the Specified Company Warrants had been exercised for cash as of the Effective Time, but for the avoidance of doubt excluding any Company Securities described in Section 1.11(b).

  • Company Shareholders means holders of Company Shares.

  • Company Shareholder means a holder of Company Shares.

  • Rollover Shares has the meaning given in the recitals.

  • Rollover Shareholders means each of Expert Master Holdings Limited, Mr. Longhua Piao and UMW China Ventures (L) Ltd.

  • Company SEC Documents has the meaning set forth in Section 3.04(a).

  • Newco Shares means the common shares in the capital of Newco;

  • Company Stockholders means the holders of shares of Company Capital Stock.

  • Fully Diluted Shares means, at any time of determination, the number of shares of common stock of the applicable entity outstanding at such time, plus the number of shares of issuable upon exercise or conversion or otherwise pursuant to any in-the-money common stock equivalents of such entity outstanding at such time.

  • Company Stockholder means the holder of either a share of Company Common Stock or a share of Company Preferred Stock.
