Contractor Indemnified Parties definition

Contractor Indemnified Parties shall have the meaning set forth in Section 13.4 hereof.

Contractor Indemnified Parties means Contractor and its Affiliates and its and their directors, officers, agents, partners, and employees. A “Contractor Indemnified Party” means any of the Contractor Indemnified Parties.

Contractor Indemnified Parties means (i) Contractor and Guarantor, (ii) any Affiliate of a Person described in clause (i), and (iii) any director, officer, partner, member, manager, agent or employee of a Person described in clause (i) or (ii).

Examples of Contractor Indemnified Parties in a sentence

• Buyer shall indemnify Seller, its affiliates, agents, representatives, employees, directors and contractors (together “Contractor Indemnified Parties”) against all damages, claims, costs, losses and expenses incurred by Contractor Indemnified Parties as a result of any bodily injury, loss of life or damage to property that is caused (whether negligently, willfully or otherwise) by Buyer or those for whom it is responsible.

• Buyer shall indemnify Seller, its affiliates, agents, representatives, employees, directors and contractors (together “Contractor Indemnified Parties”) against all damages, claims, costs, losses and expenses incurred by Contractor Indemnified Parties as a result of any bodily injury, loss of life or damage to property that is caused (whether negligently, wilfully or otherwise) by Buyer or those for whom it is responsible.

• The policies required by this Section 8 shall be primary and non-contributory with respect to Contractor and the Contractor Indemnified Parties, and the insurance providers shall agree to waive their rights of subrogation against Contractor and the Contractor Indemnified Parties.

• This provision is intended to apply even if the injury or damage is caused in part by any act or omission or default of Contractor Indemnified Parties, except that SPSA shall not be required to defend or indemnify Contractor Indemnified Parties for a Loss to the extent any such Loss results from (x) the willful misconduct or negligence of any Contractor Indemnified Parties or (y) breach of this Agreement by Contractor.

• With the exception of the workers’ compensation policy, Contractor and the Contractor Indemnified Parties shall be shown as additional insureds under all of the insurance policies required by this Section 8.

More Definitions of Contractor Indemnified Parties

Contractor Indemnified Parties means (i) Contractor and its Affiliates, and (ii) the respective officers, directors, agents, members, shareholders, invitees, representatives and employees of each Person specified in clause (i) above. A “Contractor Indemnified Party” means any one of the Contractor Indemnified Parties.
