Controlling Shareholder Group means, collectively, (i) the Controlling Shareholder, (ii) any lineal descendants (by birth or adoption) and spouse, (iii) any trusts established for the sole benefit of the foregoing, (iv) any charitable organization and (v) any Affiliate of the Controlling Shareholder.
