Conveyed Company Business Employee definition

Conveyed Company Business Employee means any Business Employee who as of immediately prior to the Closing is employed by a Conveyed Company.
Conveyed Company Business Employee shall have the meaning set forth in the definition ofBusiness Employee” in this Section 1.1.

  • Nothing contained in this Agreement shall confer upon the Conveyed Company Business Employee any right with respect to continuance of employment by the Conveyed Company, nor shall anything herein interfere with the right of the Conveyed Company to terminate the employment of the Conveyed Company Business Employee in accordance with local Laws, subject to severance obligations pursuant to Section 5.5(e).

  • The employment of each Conveyed Company Business Employee shall not terminate upon the Closing, but shall continue with the applicable Conveyed Company on terms consistent with ‎Section 5.5(c).

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • Transferred Entities means the entities set forth on Schedule 1.9.

  • Group Business Entity means;

  • Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.

  • Contract employee means a probationary faculty employee or a grant- funded employee hired on a year-to-year basis in accordance with Education Code 87470.

  • Company Employee Plans has the meaning set forth in Section 3.12(a).

  • Company Employee Agreement means any management, employment, severance, change in control, transaction bonus, consulting, repatriation or expatriation agreement or other contract between any Group Company and any current or former employee, director or officer of such Group Company.

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Current Employees has the meaning set forth in Section 6.4(a).

  • Transferred Business has the meaning ascribed to such term in the Separation Agreement.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Excluded Employees shall have the meaning set forth in Section 5.1.2.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Seller Affiliate means any Affiliate of Seller.

  • Company Employee Plan means any plan, program, policy, practice, contract, agreement or other arrangement providing for compensation, severance, termination pay, deferred compensation, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written or unwritten or otherwise, funded or unfunded, including without limitation, each "employee benefit plan," within the meaning of Section 3(3) of ERISA which is or has been maintained, contributed to, or required to be contributed to, by the Company or any Affiliate for the benefit of any Employee, or with respect to which the Company or any Affiliate has or may have any liability or obligation;

  • Management Company Employee means an individual employed by a Person providing management services to the Company which are required for the ongoing successful operation of the business enterprise of the Company, but excluding a Person engaged in Investor Relations Activities;

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Parent Employee means any current or former director, officer, manager or employee of Parent or any Parent Subsidiary.
