  • Seller and its Subsidiaries shall be solely responsible for complying with the WARN Act (and for any failures to so comply) as a result of any action by Seller or any of its Subsidiaries on or prior to the Closing Date, or following the Closing, with respect to any employee who does not become a Transferred Employee for any reason.

  • In respect of any accrued but unused paid time off of a Transferred Employee in excess of eighty (80) hours, Seller or its Affiliates shall make a payment to such Transferred Employee on or as soon as reasonably practicable following the Closing Date equal to such excess accrued but unused paid time off.
