Corporation Redemption definition

Corporation Redemption has the meaning set forth in Section 8.

Examples of Corporation Redemption in a sentence

  • Upon receipt of such Holder’s Series A Preferred Stock certificates, the Corporation shall pay the Corporation Redemption Price (plus the premium for early redemption pursuant to Section 6(b) if applicable), to such Holder, at the Corporation’s option either (i) in cash, or (ii) by offset against any outstanding note payable from Holder to the Corporation that was issued by Holder in connection with the exercise of warrants by such Holder.

  • In no event shall a Corporation Redemption Notice be given if the Corporation may not lawfully redeem its capital stock.

  • For clarification purposes, in the event that the Corporation elects to pay the Corporation Redemption Price in cash under clause (i) above, it shall so notify Holder and Holder may thereafter elect to instead effect such redemption in exchange for Promissory Notes in accordance with clause (ii) above, in which case clause (ii) above shall apply.

  • On or before the Corporation Redemption Date, the Corporation Redemption Price for such shares shall be paid by wire transfer of immediately available funds to an account designated in writing by the applicable Holder.

  • If the Corporation elects to redeem any of the Holders’ Series A Preferred Stock then outstanding, it will deliver written notice thereof via facsimile and overnight courier (“Notice of Redemption at Option of Corporation”) to each Holder, which Notice of Redemption at Option of Corporation will indicate (a) the number of shares of Series A Preferred Stock that the Corporation is electing to redeem and (b) the applicable Early Redemption Price or Corporation Redemption Price.

  • Furthermore, the Holder shall be due no interest on the Corporation Redemption Amount and/or Mandatory Redemption Amount while being held by the Corporation in trust and any and all interest, if any, which shall accrue on such amount shall be the sole property of the Corporation.

  • On the Corporation Redemption Date, the Corporation shall redeem the shares specified in such request by paying in cash therefor a sum per share equal to the Corporation Redemption Price.

  • The Corporation Redemption Price shall be paid in the same form (e.g. securities, cash or other property) as that offered or payable to the holders of Common Stock in the Change of Control or Liquidation.

  • Upon receipt of such Holder’s Series A Preferred Stock certificates, the Corporation will pay the applicable Corporation Redemption Price or Early Redemption Price to the Holder in cash.

  • Payment of the Redemption Price, calculated on a per share basis, must be tendered to the holders of the Preferred Stock within 10 business days of the date fixed for redemption by the Corporation ("Redemption Date").

  • Tax Redemption The meaning specified in Section 9.3(a) hereof.

  • Optional Redemption shall have the meaning set forth in Section 6(a).

  • Call and Put Redemption Amount means GBP 1 per Preference Share.

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Optional Redemption Amount means the sum of (a) 120% of the then outstanding principal amount of the Debenture, (b) accrued but unpaid interest on the Debenture and (c) all liquidated damages and other amounts due in respect of the Debenture.

  • Final Redemption Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;
