Covenant Not to Xxx definition

Covenant Not to Xxx shall have the meaning assigned to such term in Section 3.5.

Covenant Not to Xxx has the meaning set forth in Section 7.3(a).

More Definitions of Covenant Not to Xxx

Covenant Not to Xxx shall have the meaning ascribed thereto in Section 4.3.2 of this Agreement.

Covenant Not to Xxx means the Covenant Not to Xxx in the form of Exhibit 11.

Covenant Not to Xxx means for and in consideration of the Settlement, each Class Member shall be deemed to have covenanted that he or she will not in the future: (1) assert any claim for economic injury or for an injunction related to the Coconut Oil products and arising out of the facts and claims asserted in the Action; or (2) assert or maintain any Released Claim, directly or indirectly, against any Released Party in any court or other forum on behalf of the Class Member.

Covenant Not to Xxx is a legal term that means a person promises not to file a lawsuit or other legal proceeding. It is different from the general release of claims contained above. Besides waiving and releasing the claims above, Executive promises never to file or prosecute a lawsuit or claim, charge or complaint of any kind against any Releasee in any forum for any reason based on any act, omission, event, occurrence or nonoccurrence, covered by the General Release. Excluded from this covenant not to xxx are suits to enforce the terms of this Agreement or to challenge its validity under the ADEA. If Executive violates this covenant not to xxx, Executive shall: (i) pay the Company’s reasonable attorney’s fees and other legal costs incurred in defending against Executive’s suit; or (ii) at the Company’s option, Executive shall be required to repay to the Company all but $200 of the Monetary Consideration Executive received under this Agreement. Executive represents that, as of the date Executive executes this Agreement, he has not filed or caused to be filed any suits against any Releasee and that no such suits have been filed on his behalf.

Covenant Not to Xxx is a legal term which means you promise not to file a lawsuit in court. It is different from the General Release of claims contained in paragraph 2 above. Besides waiving and releasing the claims covered by paragraph 2 above, you further agree never to xxx the Company in any forum for any reason, including but not limited to claims, laws or theories covered by the General Release language in paragraph 2 above. Notwithstanding this Covenant Not To Xxx, you may bring a claim against the Company as set forth in paragraphs 3 and 4 above. If you xxx the Company in violation of this Agreement, you shall be liable to the Company for its reasonable attorneys’ fees and other litigation costs incurred in defending against such a suit. As indicated above, it would not violate any part of this Agreement to bring a legal claim against the Company to enforce this Agreement, or to challenge the validity of this Agreement under the ADEA. However, pursuant to paragraph 18 of this Agreement, any claim brought by you against the Company to enforce this Agreement or to challenge the validity of this Agreement under the ADEA must be brought in arbitration, not in a court.

Covenant Not to Xxx is different from the release of claims contained in Paragraph 13; for by covenanting not to xxx the Releasees, you are agreeing that you will not hereafter pursue any individual claim concerning any of the claims you released in Paragraph 13 by filing such a claim in any local, state, federal or other court. 15.
