Covered Issuer definition

Covered Issuer means (i) TCI, or (ii) any Controlled Affiliate of TCI formed or organized after the date of this Agreement that issues or proposes to issue any securities covered by an Acquisition Right (other than an Exempt Acquisition Right) or (iii) any other issuer of Equity Securities as to which JCM acquires an Acquisition Right (other than an Exempt Acquisition Right) and in which TCI has a substantial economic or equity interest.
Covered Issuer means, for a particular calendar year, an issuer that, together with its affiliates, has assets of $10 billion or more as of the end of the preceding calendar year.
Covered Issuer means any issuer that (i) is organized in the U.S., (ii) is not a registered or an unregistered investment company (other than any particular registered closed-end investment company with respect to which Wit Group is acting as an Underwriter or dealer *****, it being understood that the foregoing exception is designed to provide exclusivity for registered closed-end funds only on a case-by case-basis) or an investment fund, pooled investment vehicle or trust; and (iii) is not a registered investment company or is not an investment fund or a pooled investment vehicle managed by E Group or Wit Group as a proprietary securities product.

  • Covered Shares means, with respect to the Shareholder, (i) the Existing Shares, together with (ii) any shares of Common Stock or other voting capital stock of the Company and any securities convertible into or exercisable or exchangeable for shares of Common Stock or other voting capital stock of the Company, in each case under this clause (ii) that such Shareholder acquires Beneficial Ownership of on or after the date hereof.
