CP Satisfaction Letter definition

CP Satisfaction Letter has the meaning given to that term in the Commitment Letter.
CP Satisfaction Letter means the letter issued to the Investor stating that the Conditions Precedent have been satisfied;
CP Satisfaction Letter means each letter from, amongst others, a Commitment Party or an Administrative Party addressed to the Company (and/or, as applicable, an Affiliate) and referring to the status of certain conditions precedent under the Commitment Documents and/or the Senior Facilities Agreement and/or the Interim Facilities Agreement (as applicable).

More Definitions of CP Satisfaction Letter

CP Satisfaction Letter means the conditions precedent satisfaction letter from the Facility Agent to the Company dated on or about the Signing Date. "Creditor Accession Undertaking" has the meaning ascribed to such term in the Intercreditor Agreement.
CP Satisfaction Letter means the letter to be delivered to the Escrow Agent and Cell C in terms of clause 3.3 confirming that the relevant Transaction Documents Conditions (other than the BLT EGM CP, as applicable) referred to in such letter have been fulfilled or waived in terms of the relevant Transaction Documents, in substantially the form set out in Schedule 11;
CP Satisfaction Letter has the meaning specified in Section 7.1(c).

Related to CP Satisfaction Letter

  • Condition Satisfaction Date shall have the meaning set forth in Section 7.2.

  • Confirmation Letter means a letter issued by any applicable Rating Agency to the effect that neither (a) the resignation of Provident as Servicer under the Servicing Agreement and appointment of Litton as successor Servicer thereunder, nor (b) the amendments exxxxxxated by this Agreement, will adversely affect the then current ratings on the Certificates then being rated.

  • Review Satisfaction Date means, with respect to any Asset Review, the first date on which (a) the Delinquency Percentage for any Payment Date exceeds the Delinquency Trigger and (b) a Noteholder Direction with respect to such Asset Review has occurred.

  • Post Closing Letter is that certain Post Closing Letter dated as of the Effective Date by and between Collateral Agent and Borrower.

  • Loan Checklist An electronic or hard copy, as applicable, of a checklist delivered by or on behalf of the Borrower to the Collateral Custodian, for each Loan, of all Required Loan Documents to be included within the respective Loan File, which shall specify whether such document is an original or a copy.

  • Escrow Release Conditions means, collectively, the conditions set forth in Section 4.3.

  • Authorization Letter means a letter agreement executed by Borrower in the form of EXHIBIT A.

  • Release Conditions mean the following conditions: (i) Company has received the Executive’s executed Release and (ii) any rescission period applicable to the Executive’s executed Release has expired.

  • Designation Letter means, with respect to any Designated Subsidiary, a letter in the form of Exhibit E hereto signed by such Designated Subsidiary and the Company.

  • Document Checklist means, for any Collateral Loan, an electronic or hard copy list, substantially in the form attached hereto as Exhibit J delivered by the Borrower (or the Services Provider on behalf of the Borrower) to the Document Custodian (with a copy to the Collateral Agent) that identifies the Collateral Loan, the applicable Obligor and each of the Related Contracts that shall be delivered to the Document Custodian by the Borrower, and whether each such document is an original or a copy.

  • Closing protection letter means an agreement by the division to indemnify a lender or owner or both for loss caused by a division closer’s theft of settlement funds or failure to comply with written closing instructions relating to title certificate coverage when agreed to by the division closer.

  • Investment Property Control Agreement means an agreement in writing, in form and substance satisfactory to Agent, by and among Agent, any Borrower or Guarantor (as the case may be) and any securities intermediary, commodity intermediary or other person who has custody, control or possession of any investment property of such Borrower or Guarantor acknowledging that such securities intermediary, commodity intermediary or other person has custody, control or possession of such investment property on behalf of Agent, that it will comply with entitlement orders originated by Agent with respect to such investment property, or other instructions of Agent, and has such other terms and conditions as Agent may require.

  • Release Condition means the following:

  • Conditions Precedent shall have the meaning set forth in Clause 4.2.

  • Representation Letter Letters to, or agreements with, the Depository to effectuate a book entry system with respect to the Class A Certificates registered in the Register under the nominee name of the Depository.

  • Release Request has the meaning set forth in Section 2.1.

  • Tax Certification Forms means any forms or other documentation as may be issued or required by a Tax Authority or by us from time to time to confirm your tax status [or the tax status of a Connected Person].

  • Transaction Confirmation means a document, similar to the form of Exhibit A, setting forth the terms of a transaction formed pursuant to Section 1 for a particular Delivery Period.

  • DTC Representation Letter means the Blanket Letter of Representation from the Issuer and the Paying Agent to DTC which provides for a book-entry system, or any agreement between the Issuer and Paying Agent and a successor securities depository duly appointed.
