Commitment Documents definition

Commitment Documents has the meaning given to it in the Commitment Letter.
Commitment Documents means all title exception documents including all of the documents referred to in Schedule B of the Title Commitment.
Commitment Documents means the backstop financing commitment letter dated December 27, 2022 between Seller and Purchaser, including the term sheet attached thereto as Exhibit A.

  • No party hereto may assign or transfer any of its rights or obligations under the Commitment Documents without the prior written consent of the other parties.

  • No failure to exercise, nor delay in exercising any right or remedy under the Commitment Documents shall operate as a waiver, nor shall any single or partial exercise of any right or remedy prevent any further or other exercise of any right or remedy.

  • The Commitment Documents form the entire agreement between the parties hereto as to the Facility and replace any previous oral or written understanding or agreement in relation to the Facility or the financing of the Merger.
