Current Management Group definition

Current Management Group means Xxxxx X. Xxxxxxxx, Xx., Xxxxxx X. Son, and Xxxxxx X. Xxxxxxxxxxx.

Current Management Group means any group referred to above which includes, and is under the general direction and authority of, at least two of Xxxxxx Xxxxx, Xxxxx Xxxxxxxxxxx, Xxxx Xxxxx, Xxxx Xxxxxx, Xxx Xxxxx, Xxxx Xxxxxxxxx, F. Xxxxxx Xxxxxxx and Xxx Xxxxxxxx so long as such individuals continue to be employed in a managerial capacity by the Borrower.

Current Management Group shall have the meaning set forth in Section 2.3(D).

• In making any numerical calculation under clause (i) of this definition of "Change in Control", Voting Stock beneficially owned by the Current Management Group shall not be included in the numerator of such calculation, but shall be included as outstanding Voting Stock in the determining the denominator of such calculation.

More Definitions of Current Management Group

Current Management Group means Xxxxxx X. Xxxxxxxx, Xxxxxxx X. Xxxxxx and Xxxxxx X. Xxxxxxxxx and any successors thereto who are appointed by a majority of the Continuing Directors. As used herein, this term “Continuing Director” shall mean any director of the Borrower who either (x) is a director of the Borrower on the date hereof or (y) becomes a director of the Borrower subsequent to the date hereof but prior to the date of the Change of Control and whose election or nomination for election by the shareholders of the Borrower was duly approved by at least two-thirds of the Continuing Directors who were such immediately prior to that time of election or nomination, either by a specific vote of such Continuing Directors or by approval of the proxy statement issued by the Borrower in which such individual was named as a nominee for director of the Borrower.

Current Management Group means M. Thomxx Xxxxx, Xxllxxx X. Xxxxxx, Xxhn X. Xxxxxx xxx Thomxx X. X'Xxxx xxx any successors thereto who are appointed by a majority of the Continuing Directors, which appointment is approved by the holders of not less than 66-2/3% of the aggregate principal amount of the Notes outstanding (which approval shall not be unreasonably withheld). A "Continuing Director" shall mean any director of the Company who either (x) is a director of the Company on the date of issuance of the Notes or (y) becomes a director of the Company subsequent to the date of the issuance of the Notes but prior to the date of the Change of Control and whose election or nomination for election by the shareholders of the Company was duly approved by at least two-thirds of the Continuing Directors who were such immediately prior to that time of election or nomination, either by a specific vote of such Continuing Directors or by approval of the proxy statement issued by the Company in which such individual was named as a nominee for director of the Company.

Current Management Group shall have the meaning set forth in Section 13.1(i).

Current Management Group means, as of the date of any determination thereof, a group consisting of one or more of Xxxxx X. Xxxxxxxxx, Xxxxx X. Xxxxxxxxx, Xxxxxx X. Xxxxxxxxx or the individuals then holding the following offices (collectively, “Senior Officers”): President, Chief Executive Officer, Chairman of the Board of Directors, Vice President, Finishing Operations, Senior Vice President, Sales and Administration, Vice President, Distribution, Vice President, Finance, Vice President, Imaging Operations, Vice President, Production, Vice President, Computer Sciences, Vice President, Press Operations, Vice President, Manufacturing and Technology or at such time as such offices no longer exist, such offices which include substantially similar responsibilities; provided, however, that any such individual shall not be deemed to be a member of the Current Management Group unless such individual shall have a tenure as a Senior Officer of at least two (2) years and the Management Group, as a whole, shall have an average tenure as Senior Officers of at least five (5) years.
