Customer Securities definition

Customer Securities means Securities carried by the Debtor for the account of any customer within the meaning of Rules 8c-1 and 15c2-1 of the Securities and Exchange Commission and any proceeds thereof and interest and dividends thereon.
Customer Securities means, at any time, Eligible Securities and Eligible ETFs that are pledged at such time to the Administrative Agent for the benefit of the Lenders to secure Customer Loan Obligations.
Customer Securities securities received by or on behalf of a broker ------------------- or dealer for the account of any customer, securities carried long by a broker or dealer for the account of any customer, and securities sold to, or bought for, a customer by a broker or dealer.

Examples of Customer Securities in a sentence

  • DriveWealth shall also be entitled to a minimum monthly fee of $1,000 from the relationship with Issuer, beginning on the month of the first Closing, or the month the first Customer Securities are deposited into DriveWealth accounts, whichever occurs first.

  • If the Customer does not agree to provide such Customer Securities Standing Authority at the time of entering into this Margin Client Agreement, the Customer shall submit a written notice to the Company together with the Customer’s completed account opening form which indicates clearly that the Customer does not agree to give such Customer Securities Standing Authority to the Company.

  • Additionally, the Customer Securities Standing Authority set out under Clause 5 of Schedule 5 (if it is not revoked prior to its expiry) may be renewed for one or more further periods but not exceeding 12 months.

  • Such Customer Securities Standing Authority shall be deemed to be renewed (i.e. without the Customer’s further consent) if the Company issues the Customer a reminder at least 14 days prior to the expiry of the authority and the Customer does not object to such deemed renewal before the expiry date of the then existing authority.

  • If the Customer sign and give the Customer Securities Standing Authority set out under Clause 5 of Schedule 5 and the Customer’s Securities or securities collateral are lent to or deposited with third parties, those third parties will have lien or charge on the Customer’s Securities or securities collateral.

  • The Customer has the discretion not to give the Customer Securities Standing Authority set out under Clause 5 of Schedule 5 by giving a written notice to the Company in the circumstances provided for under either Clause 5.1 or Clause 5.7 of Schedule 5.

  • The Customer is not required by any law to sign and give the Customer Securities Standing Authority set out under Clause 5 of Schedule 5, but an authority may be required by the Company, for example, to facilitate margin lending to the Customer or to allow the Customer’s Securities or securities collateral to be loaned to or deposited as Collateral with third parties.

  • Without limitation, such Property shall include stocks and other equity interests of every type, evidences of indebtedness, other instruments representing same or rights or obligations to received, purchase, deliver or sell same and other non-cash investment property of the Customer ("Securities") and cash from whatever source and in whatever currency ("Cash").

  • Customer Securities No employee may invest in the securities of a customer of Arbor Court Capital if the employee participates in or is expected to participate in transactions involving, or is responsible for, extensions of credit to the customer or if the customer's securities are publicly traded and the employee has non- public information concerning the customer at the time of the proposed investment.

  • The Debtor has full power and authority from each customer to pledge the Customer Securities and to permit such Securities to be commingled with securities carried for the account of other customers of the Debtor.

Related to Customer Securities

  • Purchaser Securities means the Purchaser Units, the Purchaser Common Stock, the Purchaser Preferred Stock and the Purchaser Warrants, collectively.

  • NIM Securities Any debt securities secured or otherwise backed by some or all of the Class X and Class P Certificates that are rated by one or more Rating Agencies.

  • Equity-linked Securities means any debt or equity securities that are convertible, exercisable or exchangeable for Class A Shares issued in a financing transaction in connection with a Business Combination, including but not limited to a private placement of equity or debt.

  • Securities has the meaning stated in the first recital of this Indenture and more particularly means any Securities authenticated and delivered under this Indenture.

  • ETP Securities means the Series of ETP Securities to which these Conditions relates or, as the context may require, any or all securities issued by the Issuer under the Programme.

  • Underlying Securities means any securities issuable on conversion, exchange or exercise of compensation securities.

  • Lock-Up Securities has the meaning specified in Section 5.6.

  • Other Securities refers to any stock (other than Common Stock) and other securities of the Company or any other person (corporate or otherwise) which the holder of the Warrant at any time shall be entitled to receive, or shall have received, on the exercise of the Warrant, in lieu of or in addition to Common Stock, or which at any time shall be issuable or shall have been issued in exchange for or in replacement of Common Stock or Other Securities pursuant to Section 4 or otherwise.

  • Designated Securities means securities issued by an Insured, or by any Affiliated Entity, or by any Fund to which such Insured or any Affiliated Entity provides any services.

  • Related Securities means any options or warrants or other rights to acquire Shares or any securities exchangeable or exercisable for or convertible into Shares, or to acquire other securities or rights ultimately exchangeable or exercisable for or convertible into Shares.

  • Asset-Backed Securities means securities which:

  • Escrowed Securities means the direct, noncallable obligations of the United States of America, as described in the Escrow Agreement.

  • Municipal Securities means municipal securities as described under “The Fund’s Investments—Municipal Securities” in the Memorandum.

  • Offeror’s Securities means Voting Shares Beneficially Owned by an Offeror on the date of the Offer to Acquire;

  • Permitted Securities means any of the following:

  • Portfolio Securities or "investments" of the Series shall mean, respectively, such assets, net assets, securities, portfolio securities or investments which are from time to time under the management of the Subadviser pursuant to this Agreement.

  • Equity Preferred Securities means, with respect to any Person, any trust preferred securities or deferrable interest subordinated debt securities issued by such Person or other financing vehicle of such Person that (i) have an original maturity of at least twenty years, and (ii) require no repayments or prepayments and no mandatory redemptions or repurchases, in each case, prior to the first anniversary of the latest Maturity Date.

  • Mortgage-backed Securities means securities that are secured or otherwise backed by Mortgage Loans.

  • Approved Securities means securities of any State Government or of the Central Government and such bonds, both the principal whereof and the interest whereon shall have been fully and unconditionally guaranteed by any such Government;

  • Series B Securities means the 11-1/2% Senior Notes due 2007, Series B, of the Company to be issued pursuant to this Indenture in exchange for the Series A Securities pursuant to the Registered Exchange Offer and the Registration Rights Agreement.

  • Fixed Income Securities means Debt Securities created and issued by, inter alia, Central Government, State Government, Local Authorities, Municipal Corporations, PSUs, Public Companies, Private Companies, Bodies Corporate, Unincorporated SPVs and any other entities which may be recognized / permitted which yield a fixed or variable rate by way of interest, premium, discount or a combination of any of them.

  • CHESS Approved Securities means securities of the Company for which CHESS approval has been given in accordance with the ASX Settlement Operating Rules;

  • Additional Purchased Securities Securities provided by Seller to Buyer pursuant to Paragraph 4(a) hereof;

  • SPAC Warrants means SPAC Private Warrants and SPAC Public Warrants, collectively.

  • Purchased Securities has the meaning assigned in the Terms;

  • Securities System means the Federal Reserve Book-Entry System, a clearing agency which acts as a Securities Depository, or another book entry system for the central handling of securities (including an Eligible Securities Depository).
