Examples of Data Corrections in a sentence
Prudential will only be responsible for incorporating into the calculation of the GAC Issuance True-Up Premium those Data Corrections and Removed Lives that have been notified to Prudential by the Company on or prior to the GAC Issuance Data Notice Date together with any other Removed Lives and Data Corrections identified by Prudential (the “GAC Issuance Data”).
To the extent that the Company discovers or has any Removed Lives or Data Corrections after the Commitment Agreement Date and prior to the date that is 35 Business Days prior to the Scheduled GAC Issuance Date (the “GAC Issuance Data Notice Date”), the Company will provide written notice of such Removed Life or Data Correction as promptly as reasonably practicable to Prudential.
Such incorporation is subject to Prudential’s agreement with such Removed Lives or Data Corrections and any limitations on incorporating such Data Corrections and Removed Lives into the GAC Issuance True-Up Premium set forth in Schedule 8.
For any Data Corrections with respect to benefit amount discovered between the Closing and the date that is 20 Business Days before the Final True-Up Date, the Company hereby authorizes the Insurer to correct any such incorrect benefit amount and pay the corrected benefit amount to the applicable Annuitant or Joint Annuitant beginning on the Insurer Payment Commencement Date (or, if discovered thereafter, beginning on the later applicable payment date).
To the extent that the Committee discovers or has any Data Corrections with respect to the applicable Contract after the Commitment Agreement Date and prior to the date that is [***] Business Days prior to the Scheduled GAC Issuance Date (the “GAC Issuance Data Notice Date”), the Committee will provide written notice of such Data Correction as promptly as reasonably practicable to such Insurer.
The Insurer will only be responsible for incorporating into the calculation of the True-Up Premium those Data Corrections and Removed Lives that have been reported to the Insurer by the Company on or prior to the Data Notice Date together with any other Removed Lives and Data Corrections identified by the Insurer (the “Compare File”).
Such incorporation is subject to Prudential’s agreement with such Removed Lives or Data Corrections, which agreement Prudential shall not unreasonably withhold, and any limitations on incorporating such Data Corrections and Removed Lives into the GAC Issuance True-Up Premium set forth in Schedule 8.
