Debentures Custodian definition

Debentures Custodian means the Trustee, as custodian with respect to the Debentures in global form, or any successor entity thereto.
Debentures Custodian means the custodian with respect to a Global Debenture (as appointed by the Depositary) or any successor person thereto, who shall initially be the Trustee.
Debentures Custodian means, with respect to the Debentures issued in global form, initially, the Trustee and any successor entity thereto or such other Person as appointed by the Company from time to time in accordance with the provisions of this Indenture.

Examples of Debentures Custodian in a sentence

  • Debentures shall be issued in the form of one global Debenture in definitive, fully registered form (the "Global Debenture") without interest coupons and bearing the Global Debenture Legend, which shall be deposited on behalf of the purchasers of the Debentures represented thereby with the Debentures Custodian, and registered in the name of the Depositary or a nominee of the Depositary, duly executed by the Company and authenticated by the Trustee as provided in this Indenture.

  • The Company initially appoints the Trustee as (i) Registrar and Paying Agent in connection with the Debentures and (ii) the Debentures Custodian (as defined in the Appendix) with respect to the Global Debentures (as defined in the Appendix).

  • At any time prior to such cancellation, if any beneficial interest in a Global Debenture is exchanged for Definitive Debentures or a beneficial interest in another Global Debenture, redeemed, repurchased or canceled, the principal amount of Debentures represented by such Global Debenture shall be reduced and an endorsement shall be made on such Global Debenture, by the Trustee or the Debentures Custodian, at the direction of the Trustee, to reflect such reduction.

  • At any time prior to such cancellation, if any beneficial interest in a Global Security is exchanged for Definitive Securities, redeemed, repurchased or cancelled, the principal amount of Debentures represented by such Global Security shall be reduced accordingly and an endorsement shall be made on such Global Security, by the Trustee or the Debentures Custodian, at the direction of the Trustee, to reflect such reduction.

  • Members of, or participants in, the Depositary ("Agent Members") shall have no rights under this Indenture with respect to the Global Debenture held on their behalf by the Depositary or by the Trustee as Debentures Custodian or under such Global Debenture, and the Depositary may be treated by the Company, the Trustee and any agent of the Company or the Trustee as the absolute owner of such Global Debenture for all purposes whatsoever.

  • At any time prior to such cancellation, if any beneficial interest in a Global Debenture is exchanged for Definitive Debentures or a beneficial interest in another Global Debenture, redeemed, repurchased or canceled, the principal amount at maturity of Debentures represented by such Global Debenture shall be reduced and an endorsement shall be made on such Global Debenture, by the Trustee or the Debentures Custodian, at the direction of the Trustee, to reflect such reduction.

  • Any endorsement of a Global Debenture to reflect the amount of any increase or decrease in the aggregate principal amount of outstanding Debentures represented thereby shall be made by the Trustee or the Debentures Custodian, at the direction of the Trustee, in accordance with instructions given by the Holder thereof as required by Section 2.06 hereof.

  • If any mutilated Debenture is surrendered to the Trustee, the Registrar or Debentures Custodian, or if the Holder of a Debenture claims that such Xxxxxxxxx has been lost, destroyed or wrongfully taken, the Company shall issue and the Trustee, upon the written order of the Company signed by an Officer, shall authenticate a replacement Debenture if the Trustee's requirements are met.

  • There are indications that temporary employment, taken as a whole, has declined somewhat in recent years.

  • The Company shall pay to the Trustee (in its capacities as Trustee, Debentures Custodian, Conversion Agent, Paying Agent and Registrar) from time to time such compensation as may be agreed in writing between the Company and the Trustee for its services hereunder.

Related to Debentures Custodian

  • Securities Custodian means the custodian with respect to a Global Security (as appointed by the Depository) or any successor person thereto, who shall initially be the Trustee.

  • Notes Custodian means the custodian with respect to a Global Note (as appointed by the Depository), or any successor Person thereto and shall initially be the Trustee.

  • DTC Custodian means the custodian of the DTC Notes on behalf of DTC, which initially shall be the Global Agent.

  • ADS Custodian means the person then acting as custodian under the Deposit Agreement. The ADS Custodian as of the Issue Date is The Bank of New York Mellon.

  • Repo Custodian shall have the meaning set forth in the preamble of this Agreement.

  • Note Custodian means the Trustee, as custodian with respect to the Notes in global form, or any successor entity thereto.

  • Sub-Custodian means and include (i) any branch of a “U.S. bank,” as that term is defined in Rule 17f-5 under the 1940 Act, and (ii) any “Eligible Foreign Custodian” having a contract with the Custodian which the Custodian has determined will provide reasonable care of assets of the Fund based on the standards specified in Section 3.3 below. Such contract shall be in writing and shall include provisions that provide: (i) for indemnification or insurance arrangements (or any combination of the foregoing) such that the Fund will be adequately protected against the risk of loss of assets held in accordance with such contract; (ii) that the Foreign Securities will not be subject to any right, charge, security interest, lien or claim of any kind in favor of the Sub-Custodian or its creditors except a claim of payment for their safe custody or administration, in the case of cash deposits, liens or rights in favor of creditors of the Sub-Custodian arising under bankruptcy, insolvency, or similar laws; (iii) that beneficial ownership for the Foreign Securities will be freely transferable without the payment of money or value other than for safe custody or administration; (iv) that adequate records will be maintained identifying the assets as belonging to the Fund or as being held by a third party for the benefit of the Fund; (v) that the Fund’s independent public accountants will be given access to those records or confirmation of the contents of those records; and (vi) that the Fund will receive periodic reports with respect to the safekeeping of the Fund’s assets, including, but not limited to, notification of any transfer to or from a Fund's account or a third party account containing assets held for the benefit of the Fund. Such contract may contain, in lieu of any or all of the provisions specified in (i)-(vi) above, such other provisions that the Custodian determines will provide, in their entirety, the same or a greater level of care and protection for Fund assets as the specified provisions.

  • Security Custodian means, with respect to Securities of a series issued in global form, the Trustee for Securities of such series, as custodian with respect to the Securities of such series, or any successor entity thereto.

  • Custodian means any receiver, trustee, assignee, liquidator or similar official under any Bankruptcy Law.

  • ADS Depositary means the person then acting as depositary under the Deposit Agreement. The ADS Depositary as of the Issue Date is The Bank of New York Mellon.

  • U.S. Depositary or “Depositary” means, with respect to any Security issuable or issued in the form of one or more Global Securities, the Person designated as U.S. Depositary or Depositary by the Company in or pursuant to this Indenture, which Person must be, to the extent required by applicable law or regulation, a clearing agency registered under the Exchange Act and, if so provided with respect to any Security, any successor to such Person. If at any time there is more than one such Person, “U.S. Depositary” or “Depositary” shall mean, with respect to any Securities, the qualifying entity which has been appointed with respect to such Securities.

  • Depositary means, with respect to the Notes issuable or issued in whole or in part in global form, the Person specified in Section 2.03 hereof as the Depositary with respect to the Notes, and any and all successors thereto appointed as depositary hereunder and having become such pursuant to the applicable provision of this Indenture.

  • Common Depositary has the meaning specified in Section 304.

  • Certificate Custodian Initially, Wachovia Bank, National Association; thereafter any other Certificate Custodian acceptable to The Depository Trust Company and selected by the Trustee.

  • Common Depository has the meaning specified in Section 304(b).

  • U.S. Depository or “Depository” means, with respect to any Security issuable or issued in the form of one or more global Securities, the Person designated as U.S. Depository or Depository by the Company in or pursuant to this Indenture, which Person must be, to the extent required by applicable law or regulation, a clearing agency registered under the Securities Exchange Act of 1934, as amended, and, if so provided with respect to any Security, any successor to such Person. If at any time there is more than one such Person, “U.S. Depository” or “Depository” shall mean, with respect to any Securities, the qualifying entity which has been appointed with respect to such Securities.

  • Global Debenture shall have the meaning set forth in Section 2.4(a).

  • Depository Agent is defined in Section 2.6(a) of the Agreement.

  • Primary Custodian the meaning set forth in Rule 17f-7(b)(2).

  • Debenture Registrar shall have the meaning set forth in Section 2.7(b).

  • Securities Depository means The Depository Trust Company and any other clearing agency registered with the SEC under Section 17A of the Securities Exchange Act of 1934, as amended (the “1934 Act”), which acts as a system for the central handling of Securities where all Securities of any particular class or series of an issuer deposited within the system are treated as fungible and may be transferred or pledged by bookkeeping entry without physical delivery of the Securities.

  • Special Sub-Custodian Each such duly appointed Special Sub-Custodian shall be listed on Schedule D hereto, as it may be amended from time to time by a Fund, with the acknowledgment of the Custodian. In connection with the appointment of any Special Sub-Custodian, and in accordance with Special Instructions, the Custodian shall enter into a sub-custodian agreement with the Fund and the Special Sub-Custodian in form and substance approved by such Fund, provided that such agreement shall in all events comply with the provisions of the 1940 Act and the rules and regulations thereunder and the terms and provisions of this Agreement.

  • Securities Depository Nominee means, as to any Securities Depository, such Securities Depository or the nominee of such Securities Depository in whose name there shall be registered on the registration books maintained by any Registrar the Bond certificates to be delivered to and immobilized at such Securities Depository during the continuation with such Securities Depository of participation in its book-entry system.

  • Book-Entry Custodian The custodian appointed pursuant to Section 5.01.
