Neither the Servicer nor the Special Servicer may approve of a “Depositary” under the Declaration of Condominium unless such “Depositary” complies with the definition of “Eligible Account” under the Mortgage Loan Agreement.
Before Seller can require Buyer to close, however, two things must be done: (a) Seller must record the Declaration of Condominium, or an amendment thereto, in the Public Records of Miami-Dade County, containing the certificate of substantial completion required under Section 718.104(4)(e), F.S.; and (b) the Unit must be substantially completed, in the manner required under Section 35 of this Agreement, and must otherwise be an “improved lot” under 15 U.S.C.A.
